Mercer – a Marsh business, is seeking an experienced Investment Fund Lawyer for our office in Luxembourg.
In this role, you’ll join our team of legal professionals supporting our global investment business, focusing on the management and execution of our private markets structuring work. You’ll work across a broad mix of funds and separate accounts, including fund structuring, formation, and negotiations, as well as strategic projects that impact the international private markets business.
Key responsibilities
Take ownership of the legal aspects of the structuring process, including developing and maintaining internal templates, processes, and procedures.
Provide legal support and advice to the private markets platform on a range of structuring matters, including the formation of multi-investor funds, mandates, and separate accounts for international investors.
Draft, review, and negotiate fund and separate account constitutional documents, including side letters with investors.
Work closely with Mercer internal teams and external legal and tax counsel as needed, including managing the timely delivery of projects and advice within the agreed scope and budget.
Support strategic projects that impact the private markets structuring process.
Support the wider Legal team with internal projects and initiatives.
Required experience and skills
Minimum of 2-4 years of post-qualification experience gained in a law firm or legal department of an asset or fund manager, with experience in the private markets industry.
Strong understanding of closed- and open-ended funds and separate accounts, and how they operate.

Experience with Luxembourg private markets fund structures; additional jurisdictions (e.g., Ireland, Germany, Switzerland, Spain, the Netherlands, Delaware) are a plus.
Excellent organisational, analytical and negotiation skills.
Strong commercial acumen with an ability to deliver clear and pragmatic solutions.
Previous experience working in a fast-paced environment, manging multiple deadlines and tasks.
Excellent communication skills with the ability to manage expectations well.
Able to take initiative, is proactive and confidently able to take ownership of matters and develop self.
Enthusiastic and looking to develop a long-term career in-house.
Excellent English language skills, additional languages (especially German) are a strong plus
