Job Description Summary
The Commercial Contracts Manager develops and negotiates commercial contract language and provides contracts leadership and expertise for project teams across all GVH product lines globally. This role is heavily focused on the Inquiry to Order (ITO) phase of contracting but could include providing necessary support of post-contractual management, Terms & Conditions of the contract and the management of claims. It also involves identification and management of risk in support of the contract. The role is subject to operating policy objectives. There is considerable autonomy within the role. High levels of operational judgment are required to achieve desired outcomes.Job Description
Roles and Responsibilities
- Draft contract language for a wide range of commercial matters, such as sales contracts, NDAs, consortium agreements or other partnering models, claim settlements and commercial correspondence
- Responsible for commercial language development and strategy in crafting agreements
- Take a lead role in customer contract negotiations while working in collaboration with the Commercial Team
- Take lead in performing reviews and development of customer term sheets, contracts and other agreements, conforming these documents to the GVH preferred commercial models and standards prior to business and legal reviews
- Provide comparisons among project terms to ensure consistency of positions and an understanding of positions accepted in the market
- As directed by Business Leadership, craft Memorandums of Understanding and teaming agreements with potential customers and project partners
- Working with potential partners, develop project delivery models that would be acceptable to both the delivery team and customer
- Coordinate subject matter expert reviews of contract documents and incorporate comments
- Own deadlines and drive the process to achieve required deadlines
- Ensure compliance with the GEV commercial risk process and business policies
- Provide expert guidance and coaching to project teams on a day-to-day basis regarding Request for Quotes (RFQ), change orders, contract T&Cs, contract administration, and customer contractual issues of all kinds
- Provide leadership regarding significant customer contract issues: Perform contractual analysis of claims or disputes; develop risk mitigation and negotiation strategies, present alternatives and recommendations for leadership support; Apply problem-solving skills to overcome obstacles to issue resolution, participating directly in customer negotiations
- Act as bridge between the business and Legal counsel. Distill complex legal concepts into actionable commercial guidance and ensure all contracts are executed in compliance with internal governance.
- Drive the continuous improvement of contract templates, risk-assessment playbooks, and standardized negotiation tools to scale our ability to execute deals faster and more efficiently
Required Qualifications
- Juris Doctorate degree from an accredited college or university
- Minimum of 5+ years of directly related contract experience.

- Outstanding writing and oral communication skills, and ability to influence

- Power industry contracting experience interfacing directly with customers or prime contractors

For candidates applying to a U.S. based position, the pay range for this position is between $104,200.00 and $173,700.00. The Company pays a geographic differential of 110%, 120% or 130% of salary in certain areas. The specific pay offered may be influenced by a variety of factors, including the candidate’s experience, education, and skill set.
Bonus eligibility: discretionary annual bonus.
