Position Overview
Tonix Pharmaceuticals is seeking an experienced Manager, Financial Reporting to lead and manage the Company's external financial reporting process and SEC compliance activities. This role will be responsible for preparing and reviewing SEC filings, maintaining technical accounting documentation, supporting ad hoc reporting and analysis, and partnering cross-functionally with finance, legal, investor relations, and external auditors. The ideal candidate possesses deep SEC reporting expertise, strong technical accounting knowledge, and prior Big Four public accounting experience.
Key Responsibilities
- Lead the preparation, review, and timely filing of all SEC reports, including Forms 10-K, 10-Q, 8-K, Proxy Statements, Section 16 filings, and other required disclosures.
- Prepare and maintain SEC reporting support schedules, disclosure checklists, and reporting calendars.
- Draft, update, and maintain technical accounting memos documenting the Company's accounting positions and conclusions under U.S. GAAP and SEC regulations.
- Research and evaluate complex accounting issues, new accounting standards, and SEC reporting requirements and write technical memos.
- Coordinate information gathering and review processes with internal stakeholders and external auditors.
- Manage XBRL tagging review and support SEC filing submissions.
- Assist with quarterly earnings support materials and investor reporting requirements.
- Support the annual audit and quarterly review processes, including preparation of auditor deliverables.
- Prepare ad hoc financial analyses, board reporting materials, and management presentations.
- Support SOX compliance activities and internal control documentation related to financial reporting.
- Monitor emerging accounting and SEC developments and assess potential impacts to the Company.
- Drive process improvements to enhance reporting accuracy, efficiency, and compliance.
Qualifications
- Bachelor’s degree in Accounting or Finance required; Master’s degree preferred.
- Active Certified Public Accountant (CPA) license required.
- Advanced Microsoft Excel skills and proficiency with SEC reporting tools.
- Excellent written and verbal communication skills with strong attention to detail.
- Ability to manage multiple deadlines in a fast-paced public company environment.
- Strong knowledge of U.S. GAAP, SEC regulations, and public company reporting requirements
- 5+ years of progressive accounting and financial reporting experience.
- Minimum 3–5 years of direct SEC reporting experience with responsibility for Forms 10-K, 10-Q, and Proxy Statements.
- Big Four public accounting experience required.
- Experience preparing technical accounting memoranda and accounting position papers.
Preferred Qualifications
- Life sciences, biotechnology, pharmaceutical, or healthcare industry experience.
- Experience with equity accounting, stock compensation, and SEC disclosure requirements.
- Experience with implementation of SEC reporting software and or ERP system
- Prior experience supporting SOX compliance and internal controls over financial reporting.
