Capstone is searching for two motivated professionals on our Industrials/Infrastructure team: Associate and Vice President. These roles are responsible for supporting the execution of middle-market mergers and acquisitions transactions, with a primary focus on sell-side advisory assignments. The Associate and VP levels play a critical part in transaction execution, financial analysis, valuation, client communications, marketing materials preparation, and managing due diligence processes. Each position works closely with senior bankers, clients, buyers, legal counsel, and other transaction participants to deliver successful outcomes for business owners and shareholders. The Vice President serves as the primary day-to-day contact for clients and transaction counterparties while both roles have responsibilities to oversee more junior level colleagues of the deal team.

 

Duties and Responsibilities:

Transaction Execution

• Manage day-to-day execution of sell-side M&A transactions from engagement through closing.
• Coordinate and track transaction milestones, timelines, and deliverables.
• Assist in third-party outreach and process management throughout marketing and due diligence phases.
• Facilitate communications among clients, prospective buyers, attorneys, accountants, lenders, and internal deal teams.
• Support negotiations by preparing analyses and transaction materials.

 

Financial Analysis & Valuation

• Build and maintain complex financial models, including:
  • Historical and projected operating models
  • Discounted Cash Flow (DCF) analyses
  • Comparable company analyses
  • Precedent transaction analyses
  • Leveraged buyout (LBO) analyses
• Analyze company financial performance, market position, and growth opportunities.
• Assess transaction structures and financial implications for clients.

 

Marketing Materials Development

• Prepare confidential information memoranda (CIMs), management presentations, teasers, and buyer lists.
• Develop investment highlights and industry positioning analyses.
• Conduct industry, market, and competitive research.
• Assist in creating pitchbooks and business development presentations.

 

Due Diligence Management

• Coordinate due diligence processes and virtual data room activities.
• Review diligence requests and support management teams in preparing responses.
• Monitor buyer inquiries and ensure timely resolution of information requests.
• Identify and communicate potential transaction risks or issues.

 

Client Relationship Support

• Participate in client meetings, management presentations, and buyer meetings.
• Maintain regular communication with clients throughout the transaction process.
• Help prepare senior bankers for client discussions and negotiations.
• Deliver exceptional client service and professionalism.

 

Business Development Support (More for Vice President Level)

• Conduct industry and company research.
• Assist with sector coverage initiatives and market intelligence gathering.
• Support preparation of proposals and pitch presentations.
• Track and maintain target company and buyer databases.

 

Basic Qualifications:

• Bachelor's degree in Finance, Accounting, Economics, Business, or related field.

• At least 3-5 years (varies per level) of investment banking, M&A advisory, valuation, transaction advisory services, corporate development, or private equity experience.

• Previous experience in elements of live sell-side M&A transactions.

• Strong accounting and financial statement analysis knowledge.
• Experience with Capital IQ, PitchBook, FactSet, or similar databases.

• Will be expected to hold or pass the FINRA Series 79 & 63 exams.

• Ability to pass an FBI (Federal Bureau of Investigations) background check, with fingerprinting, to be associated with the broker dealer.

 

Preferred Qualifications:

• MBA, CPA, CFA, or other advanced credentials are a plus.

• Advanced in Microsoft Excel, PowerPoint, Word, and CRM systems.
• Progressive financial modeling and valuation skills.

• Strong analytical and problem-solving capabilities.
• Exceptional attention to detail and accuracy.
• Excellent written and verbal communication skills.
• Ability to manage multiple transactions and deadlines simultaneously.
• Strong project management and organizational skills.
• Professional presence and client-facing capabilities.
