The Beijing office of Hogan Lovells Cadwalader is seeking an M&A Associate to join the Corporate & Finance group. The candidates should have at least 4 years of experience in an established cross-border M&A practice of reputable PRC or international law firms.
SCOPE OF THE WORK
- Cross-border M&A and corporate transactions: work as part of a leading corporate transactions team advising multinational corporations, private equity sponsors, venture capital investors, sovereign wealth funds, state-owned enterprises and other financial institutions on a broad range of cross-border transactions. Matters include outbound and inbound mergers and acquisitions, private equity and venture capital investments and exits, joint ventures, strategic alliances, corporate restructurings, and other complex corporate transactions.
- Transaction execution and deal management: supporting corporate Partners and senior attorneys in Beijing and across the Firm's global network on M&A transactions throughout the entire transaction lifecycle. Responsibilities include conducting legal research, managing and reviewing legal due diligence, preparing and negotiating transaction documents, coordinating with local counsel and other stakeholders, advising clients on transaction-related legal issues, and assisting with successful deal execution and closing.
- Client relationship and commercial awareness: work closely with a diverse client base comprising both Chinese and international clients across a range of industries. Develop an understanding of different business cultures, commercial objectives, and client service expectations, while delivering practical, responsive, and commercially focused legal advice.
REQUIREMENTS
- PRC legal qualification is required. Additional qualification in another jurisdiction (such as Hong Kong, England & Wales, New York or other common law jurisdictions) would be advantageous.
- At least four years of legal experience in corporate transactional matters gained at a leading PRC or international law firm, with substantial exposure to cross-border M&A and corporate transactions.
- Excellent written and verbal communication skills in both English and Chinese.
- Strong legal knowledge of corporate, M&A, private equity and general commercial law, independent legal research, due diligence, drafting and transaction execution skills.
- Excellent interpersonal and communication skills with the confidence and professionalism to work collaboratively and effectively as part of a team, manage day-to-day client relationships and interact effectively with counterparties.
- Strong work ethic, sound commercial awareness and legal judgment with a client-focused, practical and solution-oriented approach to delivering high-quality legal services.
- Strong project management skills with experience in supervising and mentoring juniors in the team.
