Function:
Responsible for performing various critical governance, legal and administrative duties to support Board of Directors, General Counsel, Legal Department and the Office of the Corporate Secretary. This position is responsible for coordinating Board and Committee activities, maintaining corporate records, supporting governance compliance, conducting legal research, drafting legal documents, and managing legal process matters.
Duties and Responsibilities:
As directed, coordinates a variety of highly confidential activities related to the functions of Board and Senior Management including managing meeting schedules and planners, drafting agendas, requesting and assembling materials, correspondence with committee members, and coordinating Board meetings and any special Board events.
Functions as an administrator of S&T’s secure board portal meeting and management software solution handling content that is highly confidential, proprietary and strategic in nature for various senior management and Board committee meetings.
Posts materials and correspondence to the Boardvantage portal.
Assists in the development and enhancement of a dashboard for ease of use for Board Members.
Coordinates communications between Directors, executive leadership, and legal counsel.
Assists the Board Secretary and Assistant Secretary in the preparation of Board materials. Produces a variety of correspondence and reports, often of a confidential nature.
Monitors governance calendars to ensure timely completion of recurring Board and Committee activities.
Assist Board Secretary with Director onboarding and orientation.
Assists Assistant Secretary in maintaining the official corporate records of the organization.
Assists Assistant Secretary in drafting Board and Committee meeting minutes, resolutions, consents, charters, and governance-related documents and procedures.
Processes and tracks Director expense reimbursement.
Tracks Director Education.
Assists Assistant Secretary in responding to material requests from Internal Audit, Outside Auditors, and Regulators.
Assists Assistant Secretary with annual Board assessments, Director questionnaires, conflict-of-interest disclosures, and governance compliance activities.
Assists with receiving, reviewing, tracking, and processing subpoenas, writs, garnishments, levies, and other legal process requirements.
Assists with legal research on federal, state, and local laws, regulations, governance requirements, and other legal topics.
Coordinates document collection, preservation, and production in response to legal requests and maintains records and logs related to legal process matters to ensure timely responses.
Assists with Power of Attorney requests.
Assists General Counsel, Senior Counsel, and Counsel with contract review, transactional support, and regulatory matters.
Analyzes legal and factual information and summarizes findings for attorneys and business stakeholders.
Assists in response to various telephone and in-person calls from directors, shareholders, and the executive team.
Professionally interacts with all levels of management, Directors, customers, attorneys, consultants, and other professionals. A high degree of discretion, judgment and proper decision making is required.
Ability to utilize computer software programs including Microsoft Word, Excel, and PowerPoint.
Provides consistent, superior quality customer service to both internal and external customers that meet or exceed Bank standards.
Maintains a good working relationship with Bank employees. Demonstrates a strong ability to work independently, as well as motivated to work as a team player to contribute to the success of the department and in turn, the organization.
Performs additional duties as assigned.
Education:
Four-year degree in a discipline that emphasizes research and written communication is preferred but not required. A paralegal certificate preferred but not required.
Experience:
Requires three to five years of general business experience with preference given to experience in legal and/or Board administration.
Physical Demands:
Operates a keypad device, electronic equipment and office equipment, all of these at 75% of the day. Required travel for various required on-site meetings. Requires the use of manual dexterity skills for typing and data entry for a period of up to 60% of the business day. Specific vision requirements include close vision of 18”-20” for computer work. Salary Range:
$48,000.00 - $115,500.00
