WHO
A US-headquartered international law firm whose Tokyo office is focused on capital markets and M&A transactions. The team regularly advises on high-profile IPOs, debt and equity offerings, and cross-border M&A involving Japanese issuers and international underwriters. The paralegal role sits within the equity capital markets team and reports to the team senior associates and partners.
WHAT
You will support the capital markets team across the full lifecycle of transactions. You will assist with preparing and organising offering documents, managing signature pages, coordinating with underwriters and their counsel, conducting corporate and regulatory research, maintaining transaction checklists, and managing closing processes. You will also assist with translation of legal documents between Japanese and English and facilitate communication between Japanese-speaking and English-speaking team members and clients.
YOU
You must have 2 to 5 years of paralegal experience, ideally within a US or international law firm environment. Bilingual fluency in Japanese and English is essential. The successful candidate will be highly organised, detail-oriented, and capable of managing multiple workstreams under tight deadlines. You will have strong document management skills and familiarity with US securities filing requirements. This role is not suitable for recent graduates — prior paralegal experience in a professional services environment is required.
