Job Summary
PACS is seeking a highly organized and detail-oriented Senior Paralegal, Corporate & Securities to join its Legal team. Reporting directly to the Deputy General Counsel – Acquisitions & Finance, this role provides broad support across corporate governance, mergers and acquisitions, commercial real estate transactions, and securities compliance matters.
The successful candidate will play a critical role in supporting a rapidly growing organization with a large and expanding corporate entity structure. This position offers a unique opportunity to gain exposure to sophisticated in-house legal work, including M&A transactions, securities filings, corporate governance matters, and commercial real estate activities while partnering closely with senior legal leadership and key business stakeholders.
Key Responsibilities
- Manage corporate governance and entity administration for a large and growing portfolio of subsidiaries, including entity formations, annual reports, foreign qualifications, dissolutions, organizational records, minute books, corporate resolutions, EIN administration, and other related filings.
- Support mergers, acquisitions, financings, dispositions, and other corporate transactions by coordinating due diligence processes, maintaining data rooms, preparing and managing closing documentation, and assisting with post-closing integration activities.
- Assist with commercial real estate transactions, including leases, lease assignments, refinancings, SNDAs, title review, and coordination with outside counsel, title companies, escrow agents, and other transaction stakeholders.
- Support public company and securities compliance activities, including preparation and filing support for SEC Forms 10-K, 10-Q, 8-K, proxy statements, and Forms 3, 4, and 5.
- Maintain accurate legal records, stock ledgers, corporate documentation, and transaction files while ensuring compliance with applicable legal, regulatory, and reporting requirements.
- Collaborate effectively with internal business partners, executive leadership, and external advisors to facilitate the timely execution of strategic initiatives and complex legal transactions.
Requirements
- Must: Have 5+ years of experience as a corporate, transactional, securities, corporate governance, or M&A paralegal in a corporate legal department or mid-sized to large law firm environment. Exceptional candidates with slightly less experience may be considered based on relevant deal exposure and transaction experience.
- Must: Hold a Paralegal Certificate or equivalent paralegal education and training.

- Preferred: Experience in healthcare, particularly post-acute care, skilled nursing, or related healthcare services.

- Preferred: Experience at a mid-sized or large law firm supporting complex corporate transactions.
- Preferred: Proficiency with Microsoft Office Suite, including Word, Excel, and PowerPoint.
- Preferred: Experience with SEC EDGAR filing systems, UCC search databases, and virtual data room platforms such as ShareVault, DealRoom, or similar technologies.
- Preferred: Strong written and verbal communication skills with the ability to work effectively with attorneys, executives, business leaders, and outside counsel.
- Preferred: Exceptional organizational skills, attention to detail, and ability to manage multiple priorities and transaction timelines simultaneously.
- Preferred: Ability to work independently, exercise sound judgment, and assume significant responsibility with limited supervision.
Work Location
This role is based in Salt Lake City, Utah.
The position is intended to be an in-office role. Local candidates are strongly preferred, although exceptional candidates outside the market may be considered. Flexibility regarding in-office attendance may be available based on business needs.
Pay
The base salary for this position is $100,000 - $110,000 based on experience and location.
