The Head of Compliance & Ethics will lead and continuously evolve Cato’s global Compliance & Ethics Program, providing practical, risk-based guidance that enables business growth while promoting a culture of integrity and ethical conduct.
The ideal candidate combines deep compliance and legal expertise with strong business judgment, a collaborative mindset, and the ability to build trusted relationships across the organization. They are a pragmatic, hands-on leader who can develop scalable compliance solutions, influence ethical decision-making, and operate effectively in a fast-paced, global technology environment.
Responsibilities:
· Lead and continuously evolve Cato's global Compliance & Ethics Program, ensuring alignment with applicable laws, regulations, industry best practices, and company policies.
· Partner with stakeholders across the organization and collaborate with internal and external legal counsel to provide practical compliance guidance, resolve day-to-day compliance issues, and embed ethical decision-making into business processes.
· Design, implement, and oversee compliance policies, training and awareness initiatives, risk assessments, monitoring activities, investigations, and remediation efforts to maintain an effective and scalable compliance program.
· Monitor emerging regulatory developments and translate new requirements into practical, business-focused solutions.
· Foster a culture of integrity through trusted partnership, cross-functional collaboration, and continuous improvement of the compliance program.
Requirements:
· J.D. degree and active membership in at least one U.S. state bar.
· 8+ years of legal and compliance experience, including significant experience leading ethics and compliance programs within a global technology company. Experience supporting a publicly traded company is strongly preferred.
· Strong knowledge of anti-bribery and corruption (FCPA), sanctions and trade compliance, third-party risk management, investigations, and corporate ethics.
· Strong understanding of U.S. and international compliance frameworks, with the ability to translate legal requirements into practical, business-oriented solutions.
· Exceptional business judgment, communication, and stakeholder management skills, with the ability to influence and build trusted relationships across all levels of a global organization.
· Demonstrated ability to lead cross-functional initiatives and drive outcomes through influence in a fast-paced, high-growth environment.
· Experience leveraging compliance technology, data, and automation to improve program effectiveness and scalability.
