Reporting to the Lead Commercial Counsel, you will support Esko’s customer-facing SaaS and software licensing deals. Working on a global basis, you will also draft, negotiate, manage and oversee a broad range of commercial transactions, including partnership and procurement agreements, NDAs and Data Protection Agreements. As a trusted legal resource, you will provide guidance and training to business leaders and sales and service employees on contract negotiation and topics including AI best practices and regulation, distributor management, competition law, compliance and privacy. This varied in-house role offers autonomy, close collaboration with internal business leaders and the opportunity to negotiate with some of the world’s largest and most recognised companies.
This is a hybrid role based in our Ghent, Belgium office
In this role, you will be:
- Gaining a solid understanding of the business, its goals and challenges and identifying appropriate commercial contract strategies to facilitate those goals and minimize challenges on a global basis
- Negotiating, documenting and approving commercial transactions, contracts and other legal arrangements, with a focus on software licensing, the sale of SaaS Services
- Providing commercial-related legal advice to the business, aimed at limiting risk.
- Assisting with mergers & acquisitions – from due diligence to documentation and integration planning.
The essential requirements of the job
- Law degree with 6–8 years’ experience in an international law firm, multinational company, or a combination of both.
- Significant experience handling software-related matters, either in SaaS or technical software from the sell-side, including software licensing and hosted services.
- Fluent English with exceptional written and verbal communication skills, including the ability to explain complex legal matters to non-legal audiences.
- Strong collaboration and listening skills, with the ability to provide strategic guidance, prioritise effectively and work independently.
- Willingness to travel domestically and internationally as required, up to 20%.
Preferred experience also includes:
- In-house counsel experience.
- Experience in IT security and data privacy.
- Experience negotiating with large multinational companies.
