The Analyst-Contracts Management is responsible for ensuring that the objectives of the contract or business deal are achieved by ensuring that the various counterparties comply with the relevant contractual terms and conditions through proactive identification of contractual risks and putting in place mitigation measures to manage or address these risks.

Compliance of Contract Terms

  • Monitor, in collaboration with the proponents, the compliance by the counterparties with their commercial obligations under the contract documents (e.g. submission of the performance securities, insurance requirements, compliance with delivery obligations, warranty securities, etc.)

  • Collaborate/liaise with the proponents and other relevant stakeholders with regard to the implementation/execution of the contract documents

  • Review the securities submitted by the counterparties to ensure compliance with EDC’s approved securities forms;

  • Provide support to the proponent in respect of the enforcement of the warranty obligations of the counterparties until the complete performance thereof

  • Advise the proponent on potential mitigation measures for non-performance by a counterparty of their contractual obligation

Contract Change Management

  • Support in the review and evaluation of contract change requests consistent with the terms of the contract documents;

Reviews

  • Facilitate the regular review (in collaboration with the buyer and proponent) of the performance of the counterparties in relation to the contract documents.

Commercial Dispute Resolution

  • Manage disputes/issues (purely commercial in nature) arising from the implementation of the contract documents

  • Collaborate/coordinate with the buyer/proponent and other relevant stakeholders in relation to the management of commercial disputes.

Maintenance of the Contract Documents

  • Establish a system/mechanism or database to log and track the contract documents in an organized manner (the “Contracts Database”)

  • Liaise with the relevant stakeholders (either buyer or proponent) to identify changes to the contract documents and update the Contracts Database accordingly

  • Ensure that the Contracts Database is updated for any changes or modifications to the contract documents.

Communications

  • Serve as point person (in collaboration with the relevant stakeholders) with regard to communications with the various counterparties on matters involving the execution of the contract documents.

  • Draft letters and other correspondence to the counterparties on matters which affect the execution/implementation of the contract documents, including deviations from the contract documents.

  • Support post-contract award kick-off meetings with the counterparties, including the proponents, to ensure that the objectives of the contract documents, including the resulting major rights and obligations are understood by the counterparties and the proponents

Contract Close Out

  • Ensures that the documentation in respect of contract close-out transactions are in order and consistent with the terms of the contract documents.

Vendor Performance Appraisal

  • Establishes evaluation (in collaboration with the proponents and the buyers) criteria for the purpose of evaluating the performance by the counterparties of their contractual obligations

  • Facilitates the evaluation process in collaboration with the proponents and the buyers

  • Maintains records of the counterparty performance evaluation including the results thereof.

Reporting and Other Activities

  • Prepare reports in connection with the performance of the foregoing contracts management related activities

  • Perform such other tasks/activities as may be reasonably requested in connection with the performance of the foregoing contracts management-related activities.

Minimum Qualifications

  • Degree in Accountancy, Economics, Engineering, Law or other fields of study which are relevant to the role.

  • 4 years experience in contracts management gained from working in the power generation or construction industries.
