Job Description
A leadership role in Corporate Finance that involves investments, managing large projects, and a technical understanding in a variety of areas. Individually accountable for achieving results through a team over long periods.Responsible for leading projects, or sections within major projects undertaken by Corporate Finance. Provides technical and strategic advice, project management and assistance across the business Segments, Clusters and at a Group level to execute Corporate Finance objectives. Provides a Group wide perspective as input to a project. Leverages off the skills of other key areas within Group Finance, including: Financial Reporting, Actuarial, Legal, Tax and Corporate Secretarial areas. Collaborates with internal and external stakeholders, using expert knowledge, problem solving capabilities and the ability to facilitate and generate ideas, solutions and decisions.
This role encompasses transaction related work (being mergers, acquisitions, disposals, creating joint ventures) and corporate actions (such as listings, de-listings and unbundling of assets).
Transaction related work, includes:
Working closely with senior stakeholders to conduct geographic industry reviews to select attractive targets, in line with Old Mutual’s strategic goals;
Performance and review of valuations of local and foreign targets across the insurance (short term and long term), banking, asset management and adjacent industries;
Managing and conducting the due diligence of targets, analysis of findings and generating (and review of) recommendations to executive committees and Boards. This includes managing due diligence teams comprising internal subject matter experts, external advisors, transaction sponsors, legal counsel and transaction consultants;
Working closely with senior stakeholders, human resources, finance, tax, actuarial, information technology, legal, compliance, risk and company secretarial functions within Old Mutual Limited and the relevant business clusters to examine the attractiveness of these transactions against Old Mutual’s investment criteria.
Providing technical and strategic advice on the most suitable structuring of the transaction, from a commercial perspective;
Working closely with Old Mutual Limited executive sponsors to examine the
attractiveness of these transactions against Old Mutual’s investment criteria and the business’ strategy;
Performance and review of valuations of unlisted investments and subsidiaries at half year and year end for IFRS reporting and disclosure purposes;
Preparing internal business cases for submission to and presenting these to the relevant internal approval committees (including the Old Mutual Limited Board, Executive Committee, Investment Committee and other similar committees);
Preparing, reviewing and providing input into non-disclosure agreements, Memoranda of Incorporation, Shareholder Agreements, Sale and Purchase Agreements, Subscription Agreements, legal opinions, funding and transaction term sheets and agreements, regulatory applications, offer letters and other transaction related documentation;
Negotiations with counterparties on key commercial and legal terms; and
Internal and external stakeholder management, including engaging regulatory authorities, including the Prudential Authority, as part of the transaction approval process.
Corporate actions include unbundlings of assets, listings, de-listings, group restructuring and BBBEE ownership transactions. These corporate actions involve working closely with executive teams and boards and providing advice on optimal commercial structuring while managing execution.
Qualifications, Skills and Experience:
Qualifications & Experience:
CA(SA), CFA, Actuarial or similar is preferred
Minimum 5-8 years in Corporate Finance, Investment Banking, Private Equity or similar
Experience within financial services, insurance, banking, and/or asset management environments
Technical Skills
Strong corporate finance, transaction advisory and valuation expertise.
Advanced financial modelling and investment analysis skills.
Knowledge of IFRS valuation requirements, M&A, capital structuring and corporate actions.
Commercial negotiation and transaction structuring capability.
Understanding of legal, tax, regulatory and governance considerations in transactions.
Advanced proficiency in Microsoft Excel, PowerPoint and MS Office.
Strong report writing, business case development and presentation skills.
