The Key Purpose of this role is to provide proactive and commercially focused legal support to the South African business across a broad range of legal, regulatory and governance matters. The role is responsible for advising on commercial transactions, marketing and advertising activities, product innovation and regulatory compliance, intellectual property, corporate governance, procurement, treasury and operational matters, while partnering closely with cross-functional business teams to manage legal risk and enable business growth. The role also supports strategic transactions, corporate structuring initiatives and competition law matters through issue identification, risk assessment and coordination with specialist external counsel where required.
Key Roles and Responsibilities:
Provide practical, commercially focused legal advice to business stakeholders within South Africa and across the Africa Zone.
Draft, review, negotiate and advise on a broad range of commercial agreements, including supply, procurement, distribution, services, sponsorship, marketing, licensing and vendor agreements.
Support the business on corporate and commercial legal matters, including general advisory work, risk management and business initiatives.
Advise the Marketing and Innovation teams on product launches, advertising campaigns, promotions and consumer-facing activities to ensure compliance with applicable laws, regulations and internal policies.
Provide legal guidance on product regulatory requirements, including product classification, labelling, packaging and market entry requirements.
Manage and support intellectual property matters, including trademarks, licensing arrangements, brand protection and coordination with external IP counsel.
Provide legal support on mergers and acquisitions, joint ventures, treasury-related matters, due diligence exercises and other strategic transactions.
Monitor and communicate relevant legal and regulatory developments affecting the business.
Develop and deliver legal training and awareness programmes to business stakeholders.
Key Attributes and Competencies:
Strong commercial and contract drafting skills.
Sound understanding of corporate and commercial law principles.
Knowledge of advertising, marketing, consumer protection and product regulatory frameworks.
Understanding of intellectual property law, particularly trademarks and licensing.
Knowledge of corporate governance and company secretarial practices.
Ability to identify and appropriately escalate regulatory risks.
Strong stakeholder management and influencing skills.
Ability to balance legal risk with commercial objectives.
Strong project management and cross-functional collaboration capabilities.
Excellent communication, negotiation and problem-solving skills.
Minimum Requirements:
LLB degree and Admitted Attorney.
LLM would be advantageous.
5-years' experience as an admitted attorney at a top law firm in South Africa.
