The Opportunity 

South Bow is seeking a motivated and collaborative Project Attorney to join our legal team. Reporting to the Senior Vice President & General Counsel and embedded in a major project team, this role will be the legal focal point for a major joint venture infrastructure project spanning the US and Canada, and multiple provincial and state jurisdictions. 

You will be responsible for managing all legal aspects of the Project, including Engineering, Procurement and Contracting negotiation, litigation management, regulatory, legal land support, project governance, and related matters. In this position, you will sit on the Project leadership team and will collaborate closely with the legal teams and internal stakeholders of both joint venture partners to provide strategic and practical legal advice that enables Project objectives while managing legal risk.

What You Will Do:

  • Work closely with Project leadership to provide strategic and practical legal counsel to the project throughout the lifecycle of the Project, from FEED and preliminary procurement work to post-commencement claims management
  • Partner with Project and joint venture teams to deliver timely and effective legal support to the project, whether through dedicated project resources, joint venture partner resources (corporate, commercial, finance, legal, tax, human resources, etc.), external advisors or a combination of the foregoing
  • Identify and assess legal risks and develop strategies to mitigate risk and protect the joint venture partners’ interests 
  • Prepare for and defend against litigation or regulatory actions 
  • In consultation and working closely with the joint venture partners’ legal teams and subject matter experts, instruct and direct the activity of external counsel to support Project matters, including litigation, regulatory, and supply chain matters related to the Project
  • Advise on applicable governance matters and assist Project leadership in managing Project governance processes
  • Support project financing activities 
  • Act as a trusted advisor by taking ownership of assigned matters, fostering collaboration within a dynamic, cross-functional Project team, and influencing outcomes through clear, practical legal advice

Minimum Qualifications

  • 10+ years of relevant experience in legal practice supporting major infrastructure or similar relevant projects
  • Experience in joint venture governance practices
  • Juris Doctor (JD) from an accredited law school
  • Legally authorized to work in the United States

Preferred Qualifications

  • Relevant experience in legal practice supporting major infrastructure or similarly relevant projects
  • Ability to build strong cross functional relationships and influence outcomes through practical, business focused legal guidance
  • Strong business acumen with the ability to align legal strategies to the broader objectives of the Project
  • Proven problem-solving skills and comfort exercising independent judgment and ownership over processes and decisions
  • Demonstrated accountability and commitment to delivering high-quality work within a high performing, collaborative legal team
  • Adaptability and willingness to support a wide range of legal matters to contribute to team success

This position requires candidates to: 

  • Have current, valid authorization to travel internationally (including Canada, and US) 
  • Travel to other company locations for temporary assignments, meetings, or training (estimated up 40% of work schedule) 
  • Successfully complete pre-employment Bankruptcy, Credit, Civil and Criminal background checks
