Intellectual Property & Contracts Paralegal

The IP & Contracts Paralegal is an integral member of the Legal Team who assists in-house counsel with special and non-standard contracting matters, escalated contracting projects, and complex Memoranda of Understanding (MOUs), while managing and safeguarding the Company’s proprietary technology and brand portfolio. This role reports to the General Counsel, with dotted-line collaboration with the Products Counsel and Commercial Counsel and provides project-based contracting support and intellectual-property protection in a fast-paced, mission-driven environment.

The impact you'll have:

  • Trademark & Brand Protection: Coordinates trademark, copyright, and domain-name registrations and renewals for product and sub-brand names; supports with preliminary clearance searches; maintains evidence-of-use tracking; supports misuse and infringement investigations, including intellectual-property takedown requests
  • Patent & IP Docketing: Runs the intellectual-property docket/calendar, monitoring statutory deadlines for patents and trademarks, and coordinates directly with outside counsel on filings and strategy
  • Copyright & Licensing Records: Maintains copyright registrations and licensing records for Company content, including third-party licensed content
  • Product & Feature Review Support: Supports the Products Counsel on product lifecycle review, feature reviews, product requirement document review, marketing reviews, and legacy-product matters, flagging issues and coordinating input from Product, Marketing, and Engineering stakeholders
  • Terms of Use & Product Policies: Assists with drafting, reviewing, and maintaining Terms of Use, End User License Agreements (EULAs), Acceptable Use Policies (AUPs), and in-product disclosures
  • Company Education & Training: Develops and delivers product, content and IP related trainings to internal stakeholders; creates resources
  • Accessibility Tracking: Supports legal-based accessibility work, including tracking of accessibility-related regulations and risks and compiling reports on contract data related to accessibility
  • Special Contracting Matters & MOUs: Reviews and updates existing contract templates to reflect current law, company policy, and attorney guidance; Assists with special and non-standard contracting matters, including complex Memoranda of Understanding (MOUs) and escalated questions related to Special Use MOUs, and maintains related process documentation, escalating novel issues to the Products Counsel or Commercial Counsel as appropriate
  • Contracting Project & Escalation Support: Provides project-based support on contracting initiatives and escalated agreement questions referred by the Products Counsel, Commercial Counsel, or other in-house counsel — including SaaS, MSA, vendor, NDA, licensing/permissions, and evaluation-agreement matters that require additional research, drafting assistance, or cross-functional coordination beyond day-to-day contract administration
  • EdTech Regulatory Compliance: Reviews special contracting matters and product agreements for compliance with applicable data-privacy and ed-tech regulations (e.g., FERPA, COPPA, GDPR), flagging issues for attorney review
  • Research & Release Support: Assist with drafting, reviewing, and managing research agreements with universities and academic institutions. Supports the UXR and Research Recruitment teams with review of user research and efficacy research documentation, and assists with drafting and reviewing releases, including image releases
  • CLM & Contracting-Workflow Support: Supports maintenance and improvement of the Company’s Contract Lifecycle Management (CLM) system (Ironclad) as it relates to special contracting workflows, including approval routing, workflow automation, and electronic-signature processes
  • Risk Register & Training: Supports maintenance of the product/content/IP risk register and helps develop and deliver product-, content-, and IP-related trainings
  • Other duties as reasonably assigned, including support on legal escalations related to i-Ready and other product apps and domains, review of public records requests, etc.

Who we're looking for:

  • Contract Competency — Strong understanding of standard SaaS/commercial contract terms and clauses, including uptime SLAs, data processing agreements(DPAs), liability caps, and indemnification
  • Legal Technology Proficiency — Hands-on experience with Contract Lifecycle Management (CLM) systems – Ironclad preferred; e-signature tools, Legal AI tools, and IP docketing applications
  • IP & Brand Protection Knowledge — Working familiarity with trademark, copyright, and patent processes, including filings, renewals, and enforcement support
  • Regulatory Awareness — Working knowledge of data-privacy and ed-tech regulatory frameworks (FERPA, COPPA, GDPR) as applied to special contracting matters and product agreements
  • Analytical & Drafting Skills — Ability to review, draft, and redline agreements accurately and with attention to detail
  • Communication & Collaboration — Ability to interact professionally with internal stakeholders (Product, Marketing, Engineering, UXR) and external parties, including outside counsel
  • Organization & Judgment — Ability to manage a high volume of special matters independently, exercise sound judgment on when to escalate, and meet deadlines in a fast-paced environment
  • Confidentiality — Ability to maintain confidentiality and handle sensitive and proprietary information with discretion
  • Proficient in MS Office applications and standard legal-operations tools.  Experience generating reports from IP docketing and contract management systems

Required Education and Experience:

  • Bachelor’s degree and/or an ABA-approved paralegal certificate
  • 3 to 6 years of paralegal experience, including at least 2 years directly in-house at a technology or software company
