KEY ACCOUNTABILITIES
- Assist in the administration of corporate secretarial matters for the Company.
- Coordinate and manage logistics for Board, Board Committee and Shareholders' meetings.
- Prepare meeting notices, agendas, Board papers and meeting packs for circulation.
- Attend meetings and assist in the preparation of minutes and matters arising reports.
- Maintain statutory registers, corporate records and governance documents.
- Prepare and lodge statutory forms and filings with relevant regulatory authorities within stipulated timelines.
- Ensure compliance with the Companies Act 2016, applicable regulatory requirements and internal governance policies.
- Assist in managing Directors' appointment, resignation, re-election, fit and proper assessments and related documentation.
- Coordinate Directors' annual declarations including conflict of interest declarations.
- Assist in the administration of Directors' training and development programmes.
- Liaise with external auditors and service providers on routine corporate secretarial matters.
- Support annual report disclosures, governance reporting and regulatory submissions.
- Assist in maintaining Board and Committee Terms of Reference, governance policies and corporate records.
- Support implementation of governance initiatives and continuous improvement projects within the Secretariat function.
QUALIFICATIONS / EXPERIENCE
- Bachelor’s Degree in Corporate Administration, Law, Business Administration, Corporate Governance or related field.
- Professional qualification (CGP/MAICSA/ICSA or equivalent) would be an added advantage.
- Minimum 3-5 years of relevant corporate secretarial experience, preferably within financial services, insurance/takaful or regulated industries.
- Working knowledge of the Companies Act 2016 and corporate governance practices.
- Familiarity with regulatory filing requirements and statutory compliance obligations.
- Experience in preparing meeting papers, minutes and statutory filings.
