Legal & Compliance Counsel

Job Description:

Position Summary

The Legal & Compliance Counsel will be part of the APAC L&C team providing legal and compliance support for Japan, and from time to time the rest of APAC. 

We are seeking a motivated and experienced In-house generalist legal counsel or lawyer with at least 6-8 years Post-Qualified Experience to join our dynamic legal team. The successful candidate will play a crucial role in providing comprehensive legal advice and support across a wide range of legal matters, including contact review, drafting, and negotiation, as well as managing disputes and litigation, and compliance with applicable laws and regulations, and effectively managing legal risks for the organization.

Primary Responsibilities
Legal & Corporate Secretarial Matters

• Providing legal and compliance services to the Business Units, Functions Group entities and their respective operations
• Work with business stakeholders to assess legal implications and potential risk, help them identify, understand and manage both short-term and long-term risks to the business
• Providing counsel regarding both legal framework and what is appropriate for all Airbus activities in Japan and APAC.
• Provide legal support for the various acquisition, re-organisation, integration, development and divestment projects in Japan and APAC
• Support the coordination of input of outside counsel with the internal members of the project team e.g. Group legal and compliance departments, tax, finance, HR, export control, insurance, real estate and relevant business stakeholders
• Monitoring compliance of the transactions with relevant and applicable laws and regulations
• Coordinate with and support where necessary other members of the legal and compliance department
• Coordinate and review corporate secretarial documentation in respect of Airbus entities in Japan, as well as APAC
• Drafting and reviewing agreements for various transactions:
• Drafting, adapting and managing standard contract templates depending on the business needs and ensure proper coordination with all relevant functions (Export Control, Insurance, Tax and Finance etc.)

 

Compliance

• Under the supervision of the Regional Ethics and Compliance Manager and HO Legal & Compliance - APAC:
• Support compliance initiatives for Japan and APAC and assist with adapted deployment and monitoring with the tools and systems used by Airbus
• Support coordination within the APAC Region on policies, regulations and legal processes
• Support the Legal & Compliance function with the roll-out and management of training sessions and clear communications on anti-corruption laws and internal compliance policies for Airbus employees based in Japan and APAC
• Support deployment of key elements of the anti-corruption programme for Japan: due diligence, monitoring and auditing of business partners, agents, political advisors, offset providers and other types of third parties that present an elevated risk from a compliance perspective
• Conducting of risk-based training of business partners and other third parties on Ethics & Compliance

Other duties reasonably determined from time to time by the Legal Department and the Company

Secondary Responsibilities

• Assisting with the monitoring of all corporate matters
• Assist with preparation and conducting of legal trainings in order to develop legal awareness for operations
• Supporting the legal department on coordination with external counsel on advice and support, and support internal communication/preparation on litigation/arbitration matters
• Assist with the conducting of Compliance Investigations affecting Airbus entities (pre-investigation planning, data collection, witness interviews, final report drafting, etc.)
• Support intake and processing of reports received through Airbus’ whistle-blowing system, “OpenLine”

Outputs

• Assisting with key campaigns
• Overseeing the governance framework for local Gifts & Hospitality and Sponsorships & Donations, ensuring strict alignment with Airbus global compliance policies
• Effectively managing dispute resolution and overseeing external counsel on litigation/arbitration matters
• Tracking L&C activities in Japan and APAC
• Providing trainings to Airbus employees in Japan
• Conducting L&C Investigations under the control of the Regional Airbus Compliance Officer based in Singapore.

• Ability to explain complex legal concepts to non-legal stakeholders (e.g., executives, sales teams, engineers)
• Comfort in presenting legal advice and training to various audiences.
• Establishing credibility and trust with internal clients at all levels and strong display of integrity at all times
• Handling sensitive situations with tact and discretion

Qualification & Professional skills

Essential

• Degree in Law. At least 6–8 years of substantial in-house legal experience in Japan; admission to the Japanese Bar (Bengoshi) or a foreign bar is highly desirable. Law firm experience desirable.
• Native/Fluent in English and Japanese. Bonus for any other APAC or European language.
• Proficiency in Microsoft Office - Word, Power Point, Excel
• Proficiency in contracts and litigation
• Experience in preparing and delivering trainings and awareness sessions to a diverse audience

Desirable

• Experienced in and comfortable working with Google Workspace
