About The Role: S&P Global is seeking an Associate General Counsel - Corporate Governance & Securities for its New York, NY, USA location.

The Team

This position reports directly to the Vice President, Associate General Counsel & Corporate Secretary and serves as a senior leader within the Corporate Legal Group. The role leads a team of attorneys responsible for securities law, SEC reporting, employee benefits, and related corporate matters and serves as a key strategic advisor to senior management.

Responsibilities and Impact

The Associate General Counsel - Corporate Governance & Securities serves as a senior legal advisor on corporate governance, securities law, disclosure, capital markets, treasury matters, and other strategic corporate transactions. The role partners closely with the CFO, Chief Accounting Officer, Head of Investor Relations & Treasurer, and other senior executives to support the Company's disclosure, public company compliance framework, disclosure controls and procedures, and capital markets and financing transactions. The role will also interact with external auditors, outside counsel, and financial advisors with respect to the foregoing.

The Associate General Counsel - Corporate Governance & Securities also partners closely with the VP, AGC & Corporate Secretary and AGC, Corporate Governance on matters related to corporate governance, shareholder engagement activities, and other strategic corporate matters impacting the governance and reputation of the Company and will have a leadership role in the Company's Board and committee governance processes.

Responsibilities

  • Advise on corporate governance matters and compliance with U.S. securities laws, SEC regulations, NYSE requirements, and other public company obligations.

  • Lead and assist in the preparation, review, and filing of periodic and current SEC reports, including Forms 10-K, 10-Q, and 8-K, proxy statements, and other public disclosures.

  • Lead complex projects, capital markets transactions, financing matters, treasury matters, and other strategic corporate initiatives independently from start to finish, including issue-spotting, execution planning, stakeholder coordination, progress tracking, and delivery of results.

  • Work cross-functionally with Finance, Investor Relations, Treasury, Human Resources, Compliance, Tax, Communications, and other functions to drive execution, resolve issues, track progress, and ensure successful outcomes across governance, disclosure, capital markets, and public company matters.

  • Maintain strong organization and operational discipline across workstreams, including managing timelines, tracking deliverables, coordinating stakeholders, and ensuring follow-through on key decisions and outcomes.

  • Assist in the review of earnings materials, investor presentations, press releases, and other stockholder and public communications.

  • Assist in the preparation and execution of the annual corporate governance calendar, including Board and committee meetings, resolutions, agendas, and materials.

  • Monitor and analyze emerging legal, regulatory, and governance developments that impact the Company, its Board, and its stockholders.

  • Provide primary legal support to the Audit Committee in connection with its governance, financial reporting, disclosure, compliance, and oversight responsibilities.

  • Lead, a team of attorneys and legal professionals supporting securities law, SEC reporting, employee benefits, and related corporate matters.

  • Support special projects as assigned by the VP, AGC & Corporate Secretary, including research, drafting, project coordination, and execution from start to finish.

  • Coordinate with outside counsel and other external advisors as needed to support timely, practical, and cost-effective outcomes.

Compensation/Benefits Information: (This section is only applicable to US candidates)

S&P Global states that the anticipated base salary range for this position is $177,036 to $309,783 USD. Final base salary for this role will be based on the individual’s geographic location, as well as experience level, skill set, training, licenses and certifications.

In addition to base compensation, this role is eligible for an annual incentive plan.

What We're Looking For

Required Qualifications

  • Proven ability to take ownership of complex projects and transactions from start to finish, drive execution independently, track progress and results, and deliver clear, practical advice and solutions on established timelines.

  • Highly organized and execution-oriented, with the ability to combine strong legal knowledge and operational expertise to manage multiple priorities, track deliverables, coordinate stakeholders, and drive results.

  • Excellent cross-functional collaboration skills, with the ability to work effectively across Legal, Finance, Investor Relations, Treasury, Communications, and other functions to execute priorities, solve problems, and deliver successful outcomes.

  • 10+ years of relevant experience; in-house experience is preferred but not required.

  • J.D. or LL.M. from an accredited law school and active bar membership in New York.

  • Significant experience advising senior executives, audit committees, and boards of directors on corporate governance, securities law, disclosure, financing transactions, and strategic corporate matters.

  • Demonstrated ability to manage a team effectively, including prioritizing goals, delegating responsibilities, staying on top of execution, and working cross-functionally to drive results.

  • Strong business judgment, proactive issue-spotting skills, and the ability to identify and address legal and business risks before they become problems.
