River Run is a shared services organization that supports banking affiliates, Newburyport Bank, Pentucket Bank and Rollstone Bank & Trust.
As a Legal Assistant & Assistant Corporate Clerk, you will provide administrative and legal support to the Chief Legal Counsel. Responsibilities include coordinating Board and Committee meetings, maintaining records and governance documentation, ensuring compliance with bylaws, charters, and regulatory requirements, and assisting with the Annual Meeting and legal and annual filings.
Essential Job Functions
- Administers the Bank’s board management platform, OnBoard, including providing training and support to the Assistant Clerk and Administrative Coordinator. Manages Board and Board Committee agendas, meeting materials, minutes, and records, ensuring documentation is completed and stored appropriately.
- Collaborates with the Administrative Coordinator and Bank Assistant Clerks to manage Board and Board Committee meeting schedules and events, including the Annual Meeting, Director communications, attendance tracking, and timely Board member payments.
- Serves as a liaison to Board members, providing support with technology, information sharing, documents, and other administrative matters. Maintains procedures and supports the onboarding and offboarding of Board members and Corporators.
- Administers the Corporator list and related communications, including notices for annual and special meetings, election of officers, and other legal matters in accordance with River Run and affiliate bylaws.
- In collaboration with Legal, maintains and supports updates to bylaws and prepares resolutions, agreements, and other pertinent documents for the Bank and its subsidiaries. Provides documentation as needed for regulatory examinations and internal audits.
- Identifies opportunities to improve efficiency and raises matters requiring Executive Leadership attention; performs additional duties as directed by management.
- Maintains current knowledge of Bank products, services, procedures, policies, and applicable regulatory and compliance requirements through team meetings and required training, applying this knowledge to ensure accuracy, compliance, risk mitigation, and adherence to federal and state laws and Bank policies.
Requirements
Qualifications, Experience, and Education
- Associate’s degree and/or 5 years of experience in a corporate business environment.
- Demonstrated ability to maintain confidentiality and protect sensitive and proprietary information.
- Excellent written and verbal communication, time management, decision-making, problem-solving, and attention to detail.
- Ability to work independently within established policies and procedures, escalating matters requiring clarification as appropriate.
- Interest in working for a community bank with a strong commitment to community involvement.
