About the role:
We are seeking an Associate Counsel, Securities & Corporate Governance to join our Legal team at our Pittsburgh headquarters. In this highly visible role, you will provide legal guidance on securities law compliance, corporate governance matters, and public company disclosure obligations while supporting the Corporate Secretary function. This is an exciting opportunity for an attorney who enjoys working across business functions and wants to deepen their expertise in corporate and securities law within a global public company.
- Provide legal counsel on U.S. securities laws, SEC regulations, and public company compliance requirements.
- Review and support SEC filings and disclosures, including Forms 10-K, 10-Q, and 8-K.
- Advise on corporate governance matters, executive compensation, insider trading compliance, and Board-related activities, including preparing and maintaining materials.
- Monitor regulatory developments and help ensure compliance with SEC, NYSE, and other applicable requirements.
- Support investor relations, public disclosures, earnings releases, and other external communications.
- Assist with financing transactions, securities offerings, global subsidiary governance, and other corporate legal initiatives.
- A willingness to undertake and advise on other legal matters that arise and to provide support to Legal projects as needed
What you can bring to the role:
- Juris Doctor (J.D.) degree and active license to practice law in at least one U.S. jurisdiction (or ability to promptly obtain licensure).
- 2-5 years of relevant experience in a law firm and/or publicly traded company, with exposure to securities law and corporate governance matters.
- Strong understanding of SEC reporting requirements, public company compliance, and corporate governance practices.
- Exceptional attention to detail and the ability to manage multiple high-priority matters under tight deadlines.
- Excellent analytical, problem-solving, communication, and stakeholder management skills.
- Self-motivated, collaborative professional with strong project management skills, a growth mindset, and a desire to expand expertise across legal disciplines.
