2. 职位目的 / Role Purpose
作为大中华区 Commercial Legal 团队成员,主要为陶氏中国业务提供及时、务实且面向业务的法律支持,并根据团队安排支持亚太地区相关事项。通过合同审查、法律咨询、合规管理、争议处理及项目支持,帮助公司识别和管理法律风险,支持业务目标实现,并确保公司经营活动符合适用法律法规及公司政策要求。
As a member of the Greater China Commercial Legal Team, the Associate Counsel will provide timely, practical and commercially focused legal support to Dow’s businesses in China and, as needed, assist with matters elsewhere in Asia Pacific. The role will help the Company identify and manage legal risks, achieve its business objectives, and comply with applicable laws, regulations and Company policies through contract review, legal advice, compliance support, dispute management and project work.

• 审查、起草、修改和谈判各类商业和运营合同
• Review, draft and negotiate commercial and operational contracts
• 管理并更新合同模板
• Manage and update contract templates
• 为业务、采购、供应链、环保与安全、人事、研发及其他职能部门提供日常法律支持
• Provide day-to-day legal support to the business and to functions including Procurement, Supply Chain, EH&S, Human Resources, and Research and Development
• 参与新业务模式、商业项目及战略合作项目的法律评估
• Support legal assessments of new business models, commercial initiatives and strategic collaborations
• 协助落实适用于中国业务的公司全球政策及中国区合规要求
• Support the implementation of Company-wide policies that apply to the China business, as well as China-specific compliance requirements
• 支持开展商业合同培训,合规培训
• Support commercial contracts and compliance training
• 根据法律法规变化,向业务和职能部门提供更新、影响分析及必要的培训支持
• Keep business and functional teams informed of legal and regulatory developments, assess their potential impact, and provide training where needed
• 协助管理诉讼、仲裁及其他争议事项
• Assist in managing litigation, arbitration and other disputes
• 协助管理公司工商登记及变更事项
• Assist with corporate registrations, regulatory filings and changes to registered information
• 完成法律部门安排的其他工作任务
• Perform other tasks assigned by the Legal Department
4. 任职资格 / Qualifications
a. 教育背景 / Education
• 法学本科及以上学历
• Bachelor’s degree or higher in law
• 通过国家统一法律职业资格考试者优先
• Candidates who have passed China’s National Unified Legal Professional Qualification Examination are preferred
b. 工作经验 / Experience
• 具有三(3)年左右律师事务所或企业法务相关工作经验
• Approximately three (3) years of relevant experience in a law firm or in-house legal department
• 具有知名律师事务所或跨国公司法务部门工作经验者优先
• Experience with a reputable law firm or the legal department of a multinational company is preferred
• 具有化工、材料制造、工业品或跨境贸易行业经验者优先
• Experience in the chemical, materials, industrial products or cross-border trade sectors is preferred

• 扎实的中国法律专业知识
• Sound knowledge of PRC law
• 熟悉商业合同起草、审查及谈判
• Proficiency in drafting, reviewing and negotiating commercial contracts
• 了解企业合规管理体系及跨国公司运营模式
• Understanding of corporate compliance management systems and multinational company operations
• 具备法律风险识别与解决问题能力
• Strong ability to identify legal risks and develop practical solutions
• 能够在适当指导下独立处理日常法律事务,并及时就重大、复杂或高风险事项寻求支持
• Ability to handle day-to-day legal matters independently with appropriate guidance and to escalate material, complex or high-risk matters when necessary

• 中英文书面及口头表达能力优秀
• Excellent written and spoken Chinese and English
• 能够独立使用英文参与合同谈判、起草法律文件及开展跨区域沟通
• Ability to negotiate contracts, draft legal documents and work effectively with colleagues across regions in English
