Job Summary:
The Corporate Counsel will work under the direction of the Sr. Associate General Counsel and collaborate with the Legal Department and business teams to provide practical legal support for the Company's fuels marketing business. The position is responsible for drafting, reviewing, negotiating, and advising on a broad range of commercial agreements and transactions, including fuel supply agreements with real estate and commercial finance components and other strategic initiatives. The position will also advise on day-to-day commercial operations and transactions involving the sale of petroleum products through retail gasoline stations, including commercial contracts, franchise relationships, vendor contracts, and related real estate and financing activities.At Global Partners, business starts with people. Job Description:
- Partners with business leaders to identify legal risks and develop practical solutions that support strategic and operational objectives while protecting the Company's interests.
- Drafts, reviews, negotiates, and manages a broad range of commercial agreements, including fuel supply agreements, mortgages, guaranties, notes, subordination agreements, assignments, branded wholesale agreements, vendor contracts, confidentiality agreements, and other commercial contracts.
- Draft, review and negotiate vendor contracts supporting fuels marketing, retail gas station operations, procurement, and related business functions, including scopes of work, pricing, service levels, indemnification, insurance, limitation of liability, and termination provisions.
- Provide oversight of outside counsel on pre-litigation disputes.
- Assist with mergers, acquisitions, and other strategic transactions involving fuels marketing, retail operations, real estate, or related commercial assets.
- Provide prompt, efficient, and effective legal advice to fuels marketing, procurement, and other departments in connection with the day-to-day business operations of a publicly traded retail and wholesale petroleum distributor.
Additional Job Description:
- Juris Doctorate (J.D.) and license to practice law in Massachusetts (preferred) or in another state.
- 2- 4 years of experience at a law firm in sophisticated transactional and/or general corporate law department.
- Team oriented.
- Proven ability to organize, prioritize and manage a variety of tasks simultaneously.
- Ability to excel at working in a fast-paced, high pressure, professional environment.
- Fuels marketing or petroleum distribution experience preferred.
- Experience negotiating and drafting commercial and vendor agreements.
- Must be able to demonstrate good judgment and earn a reputation of making the right calls and connecting the dots with limited information.
- Must have effective communication skills, both written and oral.
- Exceptionally good at time management and the ability to effectively multitask in a fast-paced, deadline-driven environment.
- Ability to form relationships and develop consistent lines of communications with key people within Global, the industry, and beyond.
- Must have a “no job is too big or too small” mentality.
Pay Range:
$118,300.00 - $177,400.00The pay range for this position is outlined above. The final amount offered at the start of employment is determined based on factors including, but not limited to, experience level, knowledge, skills, abilities and geographic location, and the Company reserves the right to modify base salary at any time, including for reasons related to individual performance, Company or individual department/team performance and market factors.
