Bruker’s dynamic Legal team is looking to fill the Commercial Counsel position with a law firm-trained attorney who has in-house experience supporting sales and commercial teams in a multinational, technology-driven business.  This valuable member of the Legal team must be a commercial contracts specialist with significant experience drafting, reviewing, and negotiating transactions and enjoy partnering with business colleagues in a high-volume, fast-paced, entrepreneurial environment. This role will primarily support Bruker’s BBIO and CALID business groups in the United States and report to Bruker’s Senior Corporate and M&A Counsel.

Responsibilities

The Commercial Counsel will be responsible for the following, among other things:

  • Serving as a primary point of contact within the Legal team for the BBIO and CALID US sales organizations, providing timely, practical, and business-focused advice on customer transactions.
  • Drafting, reviewing, negotiating, and escalating a high volume of commercial agreements, including customer terms and conditions, purchase and sales agreements, quotations, master supply agreements, distribution and reseller agreements, service and lifecycle support agreements, evaluation and demonstration agreements, software licensing, and non-disclosure agreements.
  • Advising sales, service, and business leaders on Uniform Commercial Code (“UCC”) Article 2 (sale of goods) issues, including offer and acceptance, warranties, risk of loss, remedies, delivery and Incoterms, and battle-of-the-forms scenarios.
  • Structuring and documenting secured transactions and title-retention arrangements under UCC Article 9, including preparation and review of security agreements, guaranties, UCC-1 financing statements, and related perfection and priority analyses in support of customer financing, leasing, and consignment arrangements.
  • Partnering with sales and operations teams, Finance, and the deal desk on discount approvals, escalations, and revenue-recognition-sensitive commercial terms (e.g., acceptance criteria, delivery milestones, and multi-element arrangements) to accelerate quote-to-cash cycles for capital equipment sales typical of the BBIO and CALID product lines.
  • Working collaboratively with, and providing legal analysis and advice to, shared services (e.g., Information Technology, Finance, Trade Compliance, and Human Resources), business stakeholders, and cross-functional teams across each of Bruker’s business groups and divisions.
  • Reviewing and updating standard commercial templates, playbooks, and terms and conditions for products, services, and partnerships to align with current legal standards, company policies, and evolving business needs.
  • Managing customer complaints, contract disputes, and pre-litigation matters, and coordinating with outside counsel as needed.
  • Supporting Bruker’s corporate compliance program in North America, as well as trade compliance and data privacy touchpoints in the commercial contracting process.
  • Assisting with mergers and acquisitions, integration, and restructuring activities as they relate to the commercial contracting portfolio, as needed.
  • Leading and participating in special projects, as needed.

Qualifications

  • Law degree (JD) from an accredited US law school.
  • Active license to practice law, and in good standing, in Massachusetts; or, if licensed in another state, able to qualify as a registered in-house lawyer with the Massachusetts Board of Bar Overseers.
  • 5–8 years of applicable law firm and in-house legal experience supporting sales teams and commercial contracting functions (preferably at a multinational scientific instrument, life sciences, medical device, or similar technology company) resulting in:
  • working knowledge with respect to UCC Article 2 (sale of goods) and Article 9 (secured transactions), including drafting and negotiating warranty, limitation of liability, and title/risk-of-loss provisions, and structuring and perfecting security interests;
  • working knowledge of the United Nations Convention on Contracts for the International Sale of Goods (CISG), its interaction with UCC Article 2 in cross-border sales, and related choice-of-law and forum-selection provisions; and
  • experience supporting international commercial transactions, including familiarity with Incoterms, cross-border sales structures, export controls, and the interaction between US and non-US contracting practices.
  • Able to work independently, take ownership of projects, and be accountable for results.
  • Strong analytical ability together with reliably sound business judgment and a balanced and practical approach to risk mitigation and troubleshooting.
  • Superior written and verbal communication skills and a demonstrated ability to explain, clearly and accurately, complex legal issues to a non-legal audience.
  • A collaborator with strong interpersonal and leadership skills and the ability to foster relationships and work effectively with individuals at all levels and from the many cultures and geographies where Bruker operates.
  • Highly adaptable and resilient in the face of challenges, change, and shifting priorities.
  • Willing to roll up sleeves and participate actively.
  • Able to maintain a sense of urgency to achieve business goals.
  • Teachable, open to feedback, and a good listener.
  • Committed in all cases to the highest professional and ethical standards.
  • US citizenship or US permanent resident status required.
  • Experience with data privacy is a plus.
  • Familiarity with SAP (or a comparable CRM/CPQ platform) and contract lifecycle management tools is a plus.
