Description
We are seeking an experienced Corporate Commercial Legal Counsel to provide strategic legal support across a broad range of corporate and commercial matters, while also overseeing corporate secretariat responsibilities. The successful candidate will act as a trusted business partner to senior management and cross-functional teams, supporting complex transactions, governance matters, commercial negotiations and day-to-day legal operations.
This role is based in Athens, reporting to Head of Legal Services.

You will be primarily responsible for:
· Draft, review and negotiate a wide range of commercial agreements, including service agreements, procurement contracts, NDAs, partnership agreements and technology-related contracts.
· Provide legal advice on corporate and commercial matters affecting the business and its operations.
· Lead and coordinate corporate secretariat matters, including board and committee meetings, preparation of agendas and minutes, maintenance of statutory records and corporate filings.
· Coordinate shareholder matters, powers of attorney, delegated authorities and internal approvals.
· Advise on legal risks and provide practical, business-oriented solutions.
· Support M&A transactions, corporate restructurings and strategic projects, including legal due diligence and transaction documentation.
· Liaise with external counsel, regulators, corporate service providers and other stakeholders where required.
· Monitor legal and regulatory developments and assess their impact on the business.
· Provide legal support to various business functions, including finance, procurement, sales and operations.
Knowledge and experience
· Qualified lawyer with strong academic credentials and admission to practice in a relevant jurisdiction, with at least 8 years of relevant professional experience.
· Significant post-qualification experience in corporate and commercial law, preferably gained in a reputable law firm and/or multinational corporate environment.
· Proven experience in corporate governance and corporate secretariat responsibilities.
· Strong experience in drafting and negotiating complex commercial agreements.
· Experience in cross-border transactions and international business environments will be considered an asset.
· Excellent analytical, communication and stakeholder management skills.
· Ability to work independently, manage multiple priorities and provide pragmatic legal advice in a fast-paced environment.
