Senior Legal Advisor / Senior Attorney
A growing renewable energy and infrastructure company is seeking an experienced and commercially minded Senior Legal Advisor / Senior Attorney to provide high-level corporate and commercial legal support across the organization based in Bellville. This is a senior, hands-on position for an accomplished attorney who can independently manage complex commercial agreements, transactions and strategic legal matters from instruction through to completion. The successful candidate will work closely with executive management and provide practical, commercially sound legal advice that supports the organisation's continued growth. Responsibilities: Corporate & Commercial Legal • Draft, review, negotiate and finalise complex corporate and commercial agreements, including services, supply,
procurement, outsourcing, licensing, technology, confidentiality, distribution and agency agreements. • Provide legal support on acquisitions, investments, corporate restructures, due diligence, new ventures and
strategic partnerships. • Advise executive management on contractual rights, commercial risk, governance, liability, warranties,
indemnities, limitations of liability and termination rights. • Independently manage legal matters from initial instruction through negotiation, approval, signature and
implementation. • Provide practical, business-focused legal advice across all functions and entities. Projects, Transactions & Contracting • Support tender, RFP, procurement and strategic contracting processes. • Review and negotiate construction and infrastructure agreements where required, including EPC, O&M,
professional services and subcontractor agreements. • Exposure to FIDIC and/or JBCC agreements would be particularly advantageous. • Support renewable energy, infrastructure and energy-services transactions where applicable. • Assist with developing and improving group policies, standard agreements, delegation frameworks and contract-
management processes. Legal Risk & Governance • Proactively identify legal and commercial risks and develop appropriate mitigation strategies. • Oversee disputes, claims and external legal matters where required. • Brief and manage external legal counsel efficiently. • Maintain high standards of legal drafting, contract administration, document control and legal reporting. • Build trusted relationships with executive management and stakeholders across the organisation. Requirements: • LLB or equivalent recognised legal qualification. • Admitted Attorney in South Africa. • Minimum 10 years post-articles experience. • Substantial corporate and commercial experience gained within a reputable law firm and/or in-house
environment. • Exceptional legal drafting skills, with current hands-on experience drafting, reviewing and negotiating complex
commercial agreements. • Strong experience in corporate and commercial transactions. • Proven ability to independently manage complex legal matters from instruction through to completion. • Experience advising senior and executive stakeholders. • Strong commercial judgement and ability to balance legal risk with business objectives.
• Cape Town based or willing to relocate to Cape Town. Advantageous: • Renewable energy or broader energy-sector exposure. • Construction and infrastructure law. • Project development and project-related transactions. • EPC and O&M agreements. • FIDIC and/or JBCC contracts.
