COMPANY OVERVIEW:

Nuveen is the investment management arm of TIAA. It is one of the largest global asset managers, with specialist knowledge across a wide array of asset classes, including fixed income, equities, and alternatives. Nuveen is driven not only by the independent investment processes across the firm, but also by the insights, risk management, analytics, and other tools and resources that a truly world-class platform provides. As a global asset manager, our mission is to work in partnership with our clients to create outcome-focused solutions that help them secure their financial future. For more information about the firm, please visit our website at http://www.nuveen.com/

POSITION SUMMARY:

The legal team at Nuveen provides advice and guidance in support of Nuveen's asset management activities. Nuveen is the asset management subsidiary of the TIAA organization, with over $1.4 trillion in assets under management. Through its business lines, Nuveen manages investments on a global scale across fixed income, equities, and alternatives, and is primarily responsible for asset management, product development, product management, and solutions for the TIAA organization. Nuveen also leads and supports strategic enterprise-wide projects within the TIAA organization.

The Nuveen legal team is looking to hire an attorney capable of providing legal advice and guidance to its asset management and investment management clients, including TIAA itself.

Expertise is sought primarily to support the Nuveen Private Placements business, in particular its asset-backed lending platform. The Nuveen Private Placements business is a growing part of Nuveen's Equities and Fixed Income division, which manages a diverse range of investments for a wide range of clients, including private and public credit and equities strategies. Specifically, the ideal candidate will have expertise primarily in private fixed income investments, with a particular focus on asset-backed securities. A broader-based debt finance background — including experience in project finance transactions and/or investment-grade private placements — would be a plus, as would expertise in restructurings, workouts, and bankruptcies.

The Senior Director, Associate General Counsel role assists in protecting the organization's rights, obligations, and privileges and its legal interests by providing legal direction to the organization and ensuring that legal activities meet its current and future needs. This role provides legal advice and counsel in business-related areas of expertise (e.g., corporate law, real estate, tax, business litigation, transactions/antitrust, compliance, intellectual property, employment/labor, corporate governance, ethics, etc.).

Key Responsibilities and Duties

  • Provides hands-on counsel to management and supports the operations of the legal department.
  • Represents and advocates for the organization in litigation, arbitration, mediation, or other disputes with courts, government agencies, or other legal authorities.
  • Protects the organization's rights in contract negotiations, settlements, and litigation.
  • Negotiates and/or approves legal contracts, letters of agreement, policies, and other documents related to a variety of trade, commercial, financial, and operational matters.
  • Identifies, evaluates, and addresses issues of legal risk.
  • Researches, analyzes, and interprets proposed and existing laws, statutes, and regulations.
  • Advises management on recent changes in laws and regulations affecting the company.
  • Liaises with external legal counsel on complex legal issues.
