About the Role
The Investment Funds Senior Paralegal is an integral part of Latham’s Legal Professional and Paralegal team. This role will be responsible for for supporting private investment fund formations and closings, including coordinating organizational and closing documentation, investor admissions, approvals, and related fund requirements. You will also work closely with attorneys and client teams on secondary transactions, coordinating transfer documentation, investor elections and rollover processes, LPAC and other consents, ROFR requirements, AML/KYC, diligence, and closing and post-closing activities. This role will be located in our New York office. Please note that this role may be eligible for a flexible working schedule that allows for a hybrid and in-office presence.
Responsibilities & Qualifications
Other key responsibilities include:
- Support private investment fund formations and initial and subsequent fund closings, including formation and organizational documentation, fund structure charts, investor admission documentation, signatures and approvals, closing notices, and related closing requirements
- Support GP-led secondary transactions, including continuation funds, investor elections and rollover processes, LPAC and other consent processes, transfer documentation, diligence, and closing and post-closing requirements
- Support LP-led secondary transactions, including transfer documentation, buyer and seller coordination, ROFR and consent processes, AML/KYC requirements, and closing and post-closing activities
- Gain exposure to a broad range of fund restructurings and liquidity solutions, including tender offers, stapled transactions, preferred equity transactions, strip sales, and annex fund formations
- Coordinate key aspects of secondary transactions and fund restructurings, including virtual data rooms, fund and investor documentation, portfolio company and third-party consents, lender notifications, and other transaction requirements
- Work closely with attorneys, clients, investors, counterparties, fund administrators, and other transaction participants to support fund formation, closing, and secondary transaction processes
- Protecting and maintaining any highly sensitive, confidential, privileged, financial, and/or proprietary information that Latham & Watkins retains
We’d love to hear from you if you:
- Demonstrate deep substantive, procedural, technical, and practice-specific expertise, with the ability to apply that expertise to the most complex paralegal work with minimal direction and navigate novel or challenging issues within areas of specialization
- Exhibit advanced proficiency with relevant legal technology, applications, research tools, and firm systems, with the ability to select and apply appropriate tools to sophisticated work requirements and adapt to relevant new technologies
- Possess strong attention to detail and quality-control skills, with the ability to consistently produce accurate, high-quality work across multiple complex workstreams with minimal need for supervision, correction, or revision
And have:
- A bachelor’s degree or equivalent
- A paralegal certificate from an ABA-approved program or signed declaration, if located in a California office
- A minimum of six (6) years of experience as a paralegal, preferably in a law firm setting
