Our growing law firm is seeking an accomplished Mergers & Acquisitions Attorney to join our corporate practice in a role defined by substantive responsibility, client engagement, and leadership within deal teams. This position offers the opportunity to work on sophisticated transactions for clients nationwide, taking the lead on complex workstreams alongside a collaborative team of experienced attorneys. This is a role for an attorney ready to shape transaction strategy, deepen client relationships, and drive deals from inception through closing and beyond.

 

Primary Responsibilities:

• Independently manage significant workstreams across all phases of M&A and investment transactions, including structuring, due diligence, negotiation, drafting, execution, closing, and post-closing integration
• Lead due diligence efforts by directing review teams, coordinating with specialists, and synthesizing findings into actionable recommendations for deal teams and clients
• Draft and negotiate complex definitive transaction documents — including purchase agreements, disclosure schedules, and ancillary agreements — with limited supervision and a high degree of professional judgment
• Advise clients, including business executives and investors, directly on deal structure, risk allocation, and strategic considerations, serving as a trusted point of contact throughout the transaction lifecycle
• Collaborate with clients and senior attorneys to develop and execute transaction strategies aligned with business objectives, contributing meaningfully to deal positioning and negotiation tactics
• Analyze legal, regulatory, and competitive considerations affecting transactions across a variety of industries, identifying risks and proposing solutions proactively
• Mentor and supervise junior associates, delegating tasks effectively and providing constructive guidance on work product quality and professional development
• Manage multiple concurrent transactions, balancing competing priorities and ensuring timely, high-quality execution on every matter
• Advise clients on corporate governance and general corporate matters as they arise in connection with transactional work

 

The Ideal Candidate Will Have:

• 2–8 years of meaningful experience in corporate transactions with a demonstrated focus on mergers and acquisitions, including a track record of closing deals from start to finish
• Admission to practice law in Nebraska, or current eligibility for admission
• Substantial experience drafting and negotiating complex transactional documents, with the ability to work independently and exercise sound judgment under limited supervision
• Proven ability to lead and manage due diligence processes, coordinate with specialists across practice areas, and deliver clear, concise diligence summaries
• Strong negotiation skills and the confidence to advocate effectively for client interests at the deal table
• Ability to identify, analyze, and communicate legal and business risks in transactional matters effectively, in both written and oral form
• Effective analytical skills and the ability to manage competing priorities in a fast-paced, team-oriented environment
• Strong work ethic, attention to detail, and a proactive, solutions-oriented approach to complex legal challenges
