Purpose of the role

To ensure that the operations in the country or region are conducted in compliance with applicable laws and regulations, and to help the bank manage legal and reputational risks associated with these activities. 

Accountabilities

  • Development and implementation of best practice legal strategies for risk management and compliance.
  • Legal advice and support to the bank's country coverage teams on a wide range of legal issues, including regulatory compliance, risk management, project management and transactional matters.
  • Representation of the bank in legal proceedings related to its operations in the country or region, such as litigation, arbitration, and regulatory investigations.
  • Creation and review of legal documents such as loan agreements, security documents, and other financing documents to ensure compliance with applicable laws and regulations.
  • Legal research and analysis to stay up to date on changes in laws and regulations that may impact the bank's operations in the country or region.
  • Developing and delivering training programmes to educate employees on legal and regulatory requirements related to the bank's operations in the country or region.
  • Pro-active identification, communication, and provision of legal advice on applicable laws, rules and regulations (LRRs). Keeping up to date with regards to changes to LRRs in the relevant coverage area. Ensuring that LRRs are effectively allocated to, and adequately reflected within, the relevant policies, standards and controls.

As an Investment Bank Counsel, you will provide legal advice and transactional support to the Markets business with a particular focus on OTC derivatives (including structured transactions documented under German law) as well as European and German regulatory matters. Moreover,  responsibilities will include German-law governed Schuldscheine and Namensschuldverschreibungen.

In addition to the core Markets responsibilities, you will support selected Corporate Banking matters such as German-law governed cash, trade and working capital products (such as account pledges, cash pools, guarantees and suretyships (Garantien and Bürgschaften)) and associated regulatory questions.

To be successful as a Regulatory & Investment Banking Counsel, you should have:

  • German law qualified lawyer (Volljurist) or business lawyer (Wirtschaftsjurist), PQE 2+

  • Top-tier capital markets private practice or in-house capital markets background

  • Familiarity with and demonstrated responsibility in relation to regulatory expertise relevant to the Markets business, as well as experience in relation to a range of OTC derivatives products/transactions under ISDA equivalent master under German law (i.e.DRV), including structured trades as well as Schuldscheine and Namensschuldverschreibungen

  • Familiarity with the ISDA framework and ISDA booklets relating to all asset classes (i.e. IRD, FX, EQD, Commodity)

  • In-depth knowledge of and expertise on regulatory framework (e.g. EMIR, MIFID, Benchmark Regulation, BRRD and relevant European and German prudential regulatory laws)

  • Fully fluent in German and English

  • Demonstrates commercial understanding, good judgment on legal risk decisions and when to escalate

  • Transaction management skill

Some other highly valued skills may include:

  • Initial experience, or willingness to familiarize, in relation to the regulatory environment of the NBFI, PSP and Fintech businesses

  • Initial experience, or willingness to familiarize, with selected Corporate Banking products such as the cash business, trade & working capital products
