Job Requirements

 

This position offers a unique opportunity to work on sophisticated transactional matters for private equity and other financial sponsor clients, alongside a collaborative, nationally recognized team.  The Associate will play an active role in structuring, negotiating, and executing complex transactions and will have meaningful client contact. The position provides exposure to clients across a variety of industries, with a particular emphasis on health care and other heavily regulated industries.

 

Ideal candidates should have 4 – 5 years of experience working with private equity funds, independent sponsors, portfolio companies and founder owned businesses in connection with M&A transactions and day-to-day corporate matters. Health care industry experience is welcome but not required. Candidates should have demonstrated experience:

 

• Drafting and negotiating transaction documents for M&A transactions;
• Preparing and negotiating governing documents, including bylaws, operating agreements, and partnership agreements;
• Managing key aspects of transactions with increasing independence, including coordinating due diligence and supervising junior attorneys; and
• Working directly with clients and collaborating effectively within deal teams.  

 

Candidates should possess a strong academic background and superior drafting skills and must be diligent, detail-oriented, proactive, team-oriented, and personable. Candidates must be admitted to the Colorado Bar and should be willing to participate in community and professional organizations as part of professional development.

Greenberg Traurig’s Denver Health Care Practice advises clients on sophisticated corporate transactions and business-critical matters across a wide range of industries, with a particular focus on the health care sector. Our attorneys provide practical, business-focused counsel on mergers and acquisitions, private equity investments, joint ventures, financings, strategic investments, corporate governance, restructurings, and day-to-day corporate matters.

Our attorneys combine broad corporate transactional experience with deep health care industry knowledge, allowing them to help clients navigate both commercial deal issues and complex regulatory considerations. The practice regularly advises on matters involving fraud and abuse, self-referral, corporate practice of medicine, reimbursement, licensure, managed care, HIPAA, FDA-regulated products, and other federal and state regulatory frameworks that can affect health care transactions and ongoing business operations.

The expected pay range for this position is: $230,0000 - $250,000 per year Actual pay will be adjusted based on experience, location, and other job-related factors permitted by law.  Full time employees may be eligible for a discretionary bonus, health insurance with an optional HSA, short term disability, long term disability, dental insurance, vision care, life insurance, Healthcare and Dependent Care Flexible Spending Accounts, 401K, vacation, sick time, and an employee assistance program.  Additional voluntary programs include:  voluntary accident insurance, voluntary life, voluntary disability, voluntary critical illness and cancer insurance and pet insurance.  Commuter and Transit programs may also be available in certain markets.
