About this role
What we're looking for
We need an associate with 3-6 years of corporate transactional experience focused on startups and venture capital. You should have handled VC financings across stages, from seed and Series A through later rounds. You should be comfortable working directly with founders, executives, and investors in a hands-on setting with less administrative support. You also need a track record you can describe with specifics: number of deals, deal types, and what you were responsible for. New York bar admission, or eligibility for it, is required. It's a plus if you have worked with SAFEs, convertible notes, venture fund formation, or startup M&A, or if you already have relationships in the startup and VC community.
What you'll do:
- Handle transactional matters for emerging companies and startups, including entity formation, governance, and general corporate counseling as the company grows
- Take ownership of early-stage and later-stage venture capital financings, representing either companies or investors, and drive deals from term sheet to closing
- Work closely with founders, executives, and VC/PE investors as a trusted advisor, with significant client-facing responsibility
- Draft and negotiate financing documents, early-stage instruments (SAFEs, convertible notes), and private equity and growth-stage transaction documents
- Work across offices, especially San Francisco, which has strong deal flow, as part of a national venture practice with hubs in NY, SF, LA, Philadelphia, Miami, and Minneapolis
- Build your own book of business using Fox's BD resources (a $500 personal marketing budget, department BD budgets, and a dedicated BD professional) and the firm's 10% fee origination bonus
Why Fox Rothschild: This is a dedicated emerging companies and VC role at an Am Law 100 firm with about 1,000 attorneys. New York is now Fox's largest office. Base pay is merit-based rather than lockstep. The billable target is 1,900 hours, with hours bonuses at every 25 hours up to 2,300. The firm has more than 30,000 clients and lower billing rates than its peers, which makes it easier for associates to bring in clients early. The track leads to partnership.
