Salary range: $230K - $250K

About this role
We are looking for a Mid-Level Corporate Associate with 4-6 years of experience to join Fox Rothschild's San Francisco office and handle a broad range of corporate, commercial, and transactional matters. You'll work directly with partners supporting the Architecture, Engineering & Design Professional Firms practice — this is a hands-on role where you'll be a key contributor from day one, not one of ten associates buried on a deal.
What will you be doing?
- Managing mergers and acquisitions transactions with significant autonomy
- Handling outside general counsel matters for corporations and pass-through entities
- Drafting and negotiating commercial contracts, entity formations, and financings
- Supporting ownership transitions and entity governance matters
- Working directly with multiple partners (Laura Howard, Adam Siegel, Lori Sanders) and their clients
Key Requirements
- 4-6 years of corporate/transactional experience with real hands-on deal management
- Juris Doctorate (JD) and active California bar license
- Experience with M&A, corporate governance, and corporate formations
- Strong drafting, negotiation, and analytical abilities
- Ability to independently manage significant portions of transactions and lead deal teams
