Corporate M&A and Private Equity Associate (Mid-Level)

Greenberg Traurig (GT), a global law firm, is seeking a mid-level Corporate Associate (4–6 years) in the Corporate Practice, Mergers and Acquisitions (M&A) and private equity practice of our Fort Lauderdale, Florida office. Work with private equity sponsors, family offices, portfolio companies, founder-led businesses and other businesses on buyouts, add-on acquisitions, growth equity investments, recapitalizations, and exits.

This is an opportunity to take ownership of transaction workstreams on sophisticated M&A and private equity transactions for domestic and international clients. Our practice includes buyouts, add-on acquisitions, growth equity investments, recapitalizations, and exits. Our team handles deals across industries including healthcare, technology, professional services, infrastructure, insurance, education, manufacturing, retail, hospitality, and financial services, with support from GT’s global platform of transactional and regulatory lawyers and other specialists.

Your Role

• Drafting, reviewing, and negotiating key M&A and private equity transaction documents, including letters of intent, asset purchase agreements, stock purchase agreements, and merger agreements.

• Managing due diligence processes, including reviewing contracts, corporate records, and regulatory materials.

• Coordinating with tax, regulatory, finance, and litigation colleagues on transaction-related issues.

• Participating in client meetings and conference calls, providing strategic input and updates.

• Assisting with closing preparations, including drafting closing deliverables and ensuring post-closing obligations are met.

Qualifications

• J.D. from an accredited law school.

• Admission to the Florida Bar or willingness to become admitted promptly.

• 4–6 years of substantive M&A, private equity, and general corporate experience at a national or regional law firm.

• Strong drafting, negotiation, and project management skills.

• Ability to work both independently and as part of a team in a high-volume practice.

• Demonstrated ability to thrive in a fast-paced, team-oriented environment.

Preferred Qualifications

• Experience with cross-border transactions.

• Experience advising private equity funds or portfolio companies.

• Comfort working directly with clients and managing multiple deals simultaneously.
