Impact You'll Make
As a Senior Vice President within our growing State and Local Tax (SALT) M&A practice, you will serve as a senior advisor to private equity firms and corporate clients on the state and local tax implications of complex transactions. This role leads buy-side and sell-side SALT due diligence engagements, identifying potential tax exposures, evaluating transaction structures, and advising clients on tax considerations that may impact deal economics, negotiations, and post-transaction integration.
The Senior Vice President brings strong technical expertise across state income and franchise taxes, sales and use taxes, and other state and local tax matters to help clients make informed transaction decisions. This includes evaluating historical tax compliance, identifying potential liabilities, assessing nexus and apportionment considerations, and providing guidance on tax structuring and risk mitigation strategies.
Beyond managing engagements, the Senior Vice President is responsible for developing trusted client relationships, collaborating with transaction advisory and tax professionals across the firm, and translating complex tax findings into clear, actionable recommendations. This role also contributes to the continued growth of the SALT M&A practice through business development, mentoring junior professionals, and supporting broader practice initiatives.
What You'll Do
- Lead and manage buy-side and sell-side SALT due diligence engagements, including scoping, execution, technical analysis, and preparation of final deliverables.
- Advise private equity and corporate clients on state and local tax risks, exposures, and opportunities associated with mergers, acquisitions, divestitures, and restructurings.
- Evaluate historical state and local tax compliance, including income and franchise taxes, sales and use taxes, gross receipts taxes, and other applicable taxes.
- Identify and quantify potential tax liabilities related to nexus, apportionment, filing positions, taxability, and historical compliance practices.
- Analyze the state and local tax implications of proposed transaction structures and recommend strategies to address potential exposures.
- Review SALT-related provisions within purchase agreements, including tax representations, warranties, indemnifications, and other transaction considerations.
- Prepare and review SALT due diligence reports, communicate findings, and present recommendations to clients and transaction stakeholders.
- Participate in client, management, and advisor meetings throughout the due diligence process.
- Collaborate with federal tax, transaction advisory, and other service teams to deliver coordinated advice throughout the transaction lifecycle.
- Manage multiple engagements and project teams while maintaining high standards for technical accuracy, quality, and client service.
- Develop and maintain strong relationships with private equity sponsors, corporate clients, attorneys, and other transaction professionals.
- Support business development efforts by identifying opportunities, participating in client discussions, and contributing to proposals.
- Supervise, coach, and develop junior team members while supporting recruiting and broader practice initiatives.
What You Bring
- Strong technical knowledge of state and local taxation, including state income and franchise taxes, sales and use taxes, nexus, apportionment, and related compliance matters.
- Significant experience supporting or leading SALT due diligence engagements in connection with mergers, acquisitions, divestitures, or other complex transactions.
- Solid understanding of transaction structures, SALT due diligence processes, and the identification and quantification of potential tax exposures.
- Ability to analyze complex tax matters and assess their potential impact on transaction economics, negotiations, and deal structure.
- Strong analytical skills, commercial judgment, and a practical approach to solving complex client issues.
- Excellent written and verbal communication skills, including the ability to explain technical tax findings to clients and senior stakeholders.
- Demonstrated ability to manage client relationships, oversee engagements, and contribute to business development activities.
- Proven ability to manage multiple projects, meet transaction-driven deadlines, and lead engagement teams.
- Strong organizational skills, attention to detail, and commitment to delivering high-quality work.
- Professional presence, accountability, and a collaborative mindset.
- Willingness to travel up to 50% based on client and engagement needs.
Education and/or Training
- Bachelor's or Master's degree in Accounting, Taxation, Finance, or a related field. A Master's in Taxation or Juris Doctor (JD) is preferred.
- 7+ years of relevant state and local tax experience, including experience in SALT M&A due diligence, transaction advisory, or related tax consulting services.
- Experience within a Big Four accounting firm, national accounting firm, or comparable professional services environment preferred.

- Experience managing SALT engagements, supervising team members, and developing client relationships.
How You'll Thrive
- Adapt to changing client priorities and transaction-driven deadlines while maintaining a high standard of technical quality and responsiveness.
- Exhibit strong organizational skills and sound judgment when managing competing priorities and multiple engagements.
- Take ownership of engagement responsibilities and client deliverables, providing practical and well-supported tax advice.
- Collaborate effectively across tax and transaction advisory teams while embodying Stout's core values: Positive and Team-Oriented, Accountable, Committed, Relationship-Focused, Super-Responsive, and Great Communicators.
