Description
KEY DUTIES & RESPONSIBILITIES:
- Provide legal advice and guidance to management and various business departments.
- Interpret and advise on applicable laws, regulations, and legal requirements affecting the organization.
- Identify legal risks and recommend practical solutions that support business objectives.
- Conduct legal research and prepare legal opinions, memoranda, and risk assessments.
- Support strategic business initiatives and special projects requiring legal review.
- Draft, review, negotiate, and interpret commercial agreements, including:
- Vendor and supplier agreements.
- Service agreements.
- Transportation and logistics contracts.
- Warehousing and facility-related agreements.
- Non-disclosure agreements.
- Software and technology agreements.
- Consulting and professional services agreements.
- Review contractual liability, indemnification, limitation of liability, insurance, and risk transfer provisions.
- Maintain contract templates and support contract management processes.
- Monitor changes in legislation and regulatory requirements affecting the organization.
- Develop, maintain, and enforce corporate compliance programs and policies.
- Support regulatory filings and reporting requirements.
- Conduct compliance reviews and assessments.
- Coordinate internal investigations related to compliance, ethics, or regulatory matters.
- Provide compliance training and awareness programs for employees.
- Support corporate governance activities and maintenance of corporate records.
- Assist with corporate secretarial matters and regulatory filings.
- Support Board and shareholder-related governance activities.
- Maintain governance policies and documentation.
- Provide legal guidance on employment-related matters.
- Review employment agreements and workplace policies in partnership with Human Resources.
- Advise on workplace investigations, employee relations, accommodations, and legislative compliance in partnership with Human Resources and management.
- Coordinate with external employment counsel when specialized advice is required.
- Review insurance policies and contractual insurance requirements.
- Advise management regarding legal and operational risks.
- Support claim management and dispute resolution activities.
- Coordinate with insurance brokers, adjusters, and external legal counsel as required.
- Select, engage, and manage external legal counsel when specialized expertise is required.
- Review legal strategies, fee proposals, and legal opinions provided by external counsel.
- Ensure cost-effective legal support and efficient use of external resources.
- Juris Doctor (JD) or Bachelor of Laws (LL.B.) degree from an accredited institution.
- Licensed and in good standing with the Law Society of Ontario.
- Minimum 10 years of legal experience in private practice, in-house counsel, or a combination of both.
- Experience advising management on corporate, commercial, regulatory, and compliance matters.
- Experience reviewing and negotiating commercial contracts.
- Experience working independently as a primary legal advisor or sole legal resource is preferred.
