As Company Secretary, you’ll play an important leadership role in supporting the effective operation of Zip’s Board and Board Committees, while leading the company secretarial requirements of the Group.

Working closely with the Chair, Board and Group Executive Team, you’ll bring sound judgement, exceptional organisation and a strong governance mindset to some of Zip’s most important corporate processes.

You’ll collaborate closely with colleagues across Legal and Compliance, Finance, Strategy, Risk and Investor Relations, helping Zip maintain strong governance practices while continuing to move at pace.

What you’ll own

  • Partner closely with the Chair to support the efficient and effective operation of the Board and its Committees.
  • Act as a key connection point between the Board and Group Executive Team, coordinating agendas, Board and Committee papers, policies and meeting requirements.
  • Attend Board and Committee meetings, ensuring minutes accurately capture key discussions and decisions and that agreed actions are communicated, followed through and completed.
  • Plan and facilitate Board strategy sessions, workshops, director inductions, ongoing education and compliance training.
  • Own the Board and Board Committee calendars and support the ongoing maintenance of charters and governance frameworks.
  • Organise and manage shareholder meetings, including Zip’s Annual General Meeting.
  • Provide guidance on Zip’s governance policies, procedures and frameworks, including the operation of delegated authorities.
  • Partner with Legal Counsel to support compliance with ASX reporting requirements and applicable corporate governance obligations.
  • Oversee required ASIC forms and returns, ensuring obligations are completed accurately and within prescribed timeframes.
  • Support equity issuances under Zip’s incentive programs and the administration of shares through Zip’s Employee Share Trust.
  • Contribute to the preparation and lodgement of Zip’s Annual Report.
  • Oversee company secretarial requirements for subsidiary entities, including director appointments and departures and other required corporate actions.
  • Lead, develop and empower your team, creating clarity, accountability and an environment where people can do their best work.

  • Significant Company Secretary experience within an ASX listed organisation, including direct engagement with a Board Chair and senior executives.
  • A tertiary qualification, ideally in law, business, finance or a related discipline.
  • Graduate Diploma of Applied Corporate Governance from the Governance Institute of Australia.
  • Strong working knowledge of the ASX Listing Rules, Corporations Act 2001 and corporate governance requirements.
  • Experience using Diligent Boards.
  • Exceptional written and verbal communication skills, with the confidence and judgement to work constructively with Board members and senior stakeholders.
  • Strong organisational and prioritisation skills, with the ability to deliver high quality work in a fast paced and deadline driven environment.
  • High levels of discretion, integrity and sound judgement when managing confidential and commercially sensitive information.
  • A collaborative leadership style and the ability to build trusted relationships across different functions and levels of the organisation.
  • A proactive approach, strong attention to detail and willingness to take ownership through to completion.
  • A mindset that embraces AI and new tools to adapt, learn and grow.
