Associate Counsel

What will you work on?
As Associate Counsel, you will provide expert counsel in the areas of securities, treasury/finance, tax, M&A, corporate governance, as well as assisting and advising on special legal projects and initiatives and ad-hoc projects.

How will you create impact?

• Securities – Assist with compliance with applicable Canadian securities and stock exchange requirements; advising on continuous disclosure obligations, draft and review proxy circular and continuous disclosure documents.
• Treasury/Finance – Assist with legal aspects of public offerings, banking/credit facility matters, dividend, share buyback program and other treasury matters.
• Tax - Assist with legal analyses and documentation related to intercompany restructurings, intercompany agreements and corporate housekeeping matters.
• M&A – Assist with mergers, acquisitions, and divestitures from Letter of Intent (LOI) through due diligence, negotiation, and closing; draft, review, and negotiate complex commercial agreements, purchase agreements, and disclosure schedules; and partner with internal business leaders, finance, and HR teams on integration.

• Corporate Governance
• Manage governance projects across multiple countries, ensuring timely and efficient execution
• Draft and review corporate agreements, resolutions, and documentation and support internal corporate restructurings and reorganizations
• Respond to information requests, manage corporate history records, collaborate with various Corporate Departments (Tax, Treasury, HR, Accounting) and liaise with external legal counsel, advisors, and agents

• Other - Help with Legal special projects and initiatives; manage outside counsel involved in certain transactions and projects; other duties as assigned.
  

What are your skills and experience?

• LL.B. or J.D. in good standing, called to the Bar of a Canadian province, membership in an applicable law society or bar association.
• Licensed to practice law in Ontario.
• 3-5 years of legal experience in corporate law, securities and M&A.
• Strong knowledge of continuous disclosure, corporate finance and governance. Knowledge of and experience with intellectual property laws would be considered a strong asset.
• Excellent organizational, communication, and project management skills.
• Strong attention to detail and ability to manage multiple priorities.
• Ability to work independently and collaboratively in a global environment.

• Strong drafting skills commensurate with year of call.

The anticipated pay range for candidates who will work in Ontario is $ 118,600 to $158,100 Per Annum. The offered pay to a successful candidate will be dependent on several factors that may include but are not limited to years of experience within the job, years of experience within the required industry, education, etc. Spin Master Inc. is a multi-state employer, and this salary range may not reflect positions that work only in other states.
