Job Description

Antares Capital has a collaborative, performance-driven culture built on partnership, accountability, and long-term development. This role offers an excellent opportunity for an attorney with approximately four to six years of relevant experience to join Antares' Legal and Compliance Team and help support a growing private credit platform.

Based in Antares' Chicago office, the Senior Counsel will work closely with attorneys, compliance professionals, finance colleagues, business teams, and other internal stakeholders on a broad range of corporate, transactional, governance, and operational matters related to supporting Antares as a Private Credit asset manager. Given the dynamic nature of Antares’ priorities, we seek flexible and innovative team members who can work independently and deliver results that meet business needs. The role is well suited for a practical, intellectually curious attorney who enjoys working across functions, learning the business, and helping the organization move efficiently while managing legal risk.

Responsibilities

You will have meaningful exposure to a range of corporate legal matters and will be expected to take ownership of recurring workstreams, contribute to new initiatives, and help improve how the Legal Department supports the broader Antares platform. Responsibilities will include:

  • Licensing and Regulatory Filings: Coordinate with the internal paralegal team, Finance, Compliance, and business stakeholders to support non-SEC licensing requirements, state qualifications, and non-investment adviser regulatory filings, helping ensure filings are timely, accurate, and efficiently managed.
  • Corporate Records and Entity Management: Help maintain and enhance Antares' corporate records, legal entity information, and related retention processes, including continued development and use of the Antares Legal Entity Management System.
  • KYC and Investor/Counterparty Requests: Support and help manage Antares' response process for high-volume Know Your Customer and anti-money laundering requests, working with internal teams to coordinate responses and identify opportunities to streamline recurring diligence workflows.
  • Non-Reliance Letters and NDAs: Draft, review, and negotiate non-reliance letters and non-disclosure agreements, balancing business objectives with appropriate protection of confidential information and legal risk management.
  • Commercial Contracts: Assist Deputy General Counsels and other attorneys with structuring, reviewing, drafting, and negotiating a variety of commercial agreements, including consulting and professional services agreements, leases, software licenses, vendor agreements, supplier agreements, and event-related contracts.
  • Corporate Governance: Provide support to the Corporate Legal Team on governance matters, including board and committee processes, corporate approvals, entity governance, and related records.
  • Legal Developments: Monitor and help assess legal developments that may affect Antares' corporate legal approach, escalating key issues and partnering with stakeholders to support timely compliance and strategic alignment.
  • Corporate Legal Policies, Procedures, and Best Practices: Contribute to the development and maintenance of policies, procedures, templates, playbooks, and training materials that promote consistency, efficiency, integrity, and transparency across the organization.
  • Litigation Support: Assist other attorneys with litigation, dispute, subpoena, records, and related matter-management activities as needed.

Qualifications

  • Juris Doctor degree from an accredited law school; active license to practice law in at least one U.S. jurisdiction required, with Illinois or New York preferred.
  • Approximately four to six years of relevant law firm and/or in-house legal experience; experience with commercial transactions, mergers and acquisitions, finance, corporate governance, asset management, or private credit is beneficial.
  • Strong foundational understanding of corporate structures, legal entity governance, and contracting principles, and practical risk management.

Skills

  • Ability to spot legal and business issues, propose practical solutions, and escalate significant matters to Legal Department leadership when appropriate.
  • Excellent written and verbal communication skills, including strong legal drafting, negotiation, organization, and follow-through.
  • Collaborative, proactive, and service-oriented approach, with the ability to build trusted relationships across legal, compliance, finance, operations, and business teams.
  • Comfort working in a fast-paced environment, managing multiple priorities, and taking ownership of projects with appropriate supervision.
  • Experience with Microsoft Suite including Word, Excel, PowerPoint, and Outlook or comparable software application (SharePoint experience preferred, but not required)

Competencies

  • Strategic thinking and decision making: Applies strong business and market insight and expertise to shape functional/team strategy, solves complex problems, recommends best practices, makes high quality decisions, anticipates future needs and delivers stakeholder aligned value.
  • Drives execution and results: Translates enterprise and functional goals into clear initiatives within their scope. Remove barriers and drives teams or others to deliver timely and high-quality results.
  • Cultivates strategic relationships and influence: Builds strong internal and external relationships, understands organizational dynamics to influence stakeholders and communicates with impact to align perspectives and advances functional goals.
  • Fosters an inclusive culture and leads teams to achieve excellence: Role models and shapes an inclusive and high performing culture by leading or working across teams and functions, setting clear expectations and developing talent to enable strong organizational performance.
  • Masters oneself and demonstrates a growth mindset: Demonstrates strong self-awareness and integrity, adapts leadership to build trust and influence outcomes, challenges assumptions with courage, mitigates risk responsibly and guides others through change with clarity and resilience.
  • Innovation: Champions innovation by raising new ideas, leveraging data and technology tools to improve team/function performance and capability.

The Fine Print

  • Must have unrestricted authorization to work in the United States.
  • Must be willing to comply with pre-employment screening, including but not limited to drug testing, reference verification, and background check.
  • Must be willing to work from the Chicago office.
