Job Description:

RESPONSIBILITIES:

1. 起草、审核各类中、英文业务合同（包括但不限于销售、采购、技术许可等），优化各类合同模板及管理流程。

Draft and review commercial contracts in both Chinese and English (e.g., sales, procurement, technology licensing, etc.) and optimize standard contract templates and management processes under common law principles.

2. 处理公司经营中各类日常咨询（采购、知识产权、出口管制等），提供法律建议。

Provide timely legal risk assessments and solutions for operational compliance (IP, export controls, procurement, etc.).

3. 参与重大商务谈判，为公司重大项目提供全程法律支持。

Support major commercial negotiations and provide legal support for key company projects.

4. 持续跟踪、分析并解读国内外半导体行业立法、执法动态（含美国出口管制、中国出口管制法律体系等关键法域），并评估其对公司业务的潜在影响。

Continuously monitor, analyze, and interpret legislative and enforcement developments in the semiconductor industry, with a focus on U.S. and China export control regimes, and assess their potential impact on the company's business.

5. 跟进处理争议与诉讼事项，管理外部律所及其他法律事务。

Follow up on dispute matters, manage external counsel relationships, and handle other legal affairs as required.

REQUIREMENTS:

1. 法学本科或硕士学历（中国法背景），持有中国法律职业资格证书（A证）。

Bachelor or Master of Laws in Chinese law, with PRC Bar (Class A).

2. 熟悉美国法及普通法体系，具有美国或其他普通法法域LL.M.学位者优先。

Familiarity with U.S. law and the common law systems; LL.M. from a common law jurisdiction preferred.

3. 英语能力优秀（CET-6及以上），能够以英语为工作语言，熟练起草和修订英文法律文件。

Proficient in English (CET-6+) as working language, with strong drafting/reviewing skills for legal documents in English.

4. 具备2年以上英美法合同实务经验，或知名律所/跨国企业法务部相关法律支持经验。

Minimum 2 years' experience in common law contract practice, or in a reputable law firm or the legal department of a multinational corporation.

5. 工作严谨细致，责任心强，具备出色的跨部门沟通能力。

Meticulous, detail-oriented and responsible, with excellent cross-functional communication skills.
