Foley is currently seeking a Real Estate & Corporate Transactions Paralegal to support attorneys in the Real Estate and Corporate Transactions practice areas. This role will provide transactional support across a range of matters, including commercial closings, lender‑side financing transactions, related corporate work, and the coordination of matters involving multiple priorities. The ideal candidate will have excellent research and analytical skills and the ability to maintain strict confidentiality in all matters while exercising sound judgment.  The Paralegal must have strong attention to detail and commitment to quality, with the ability to independently review work for accuracy, completeness, consistency, and compliance with applicable firm policies, procedures, and quality standards.

Responsibilities

  • Business Entity Filings & Document Retrieval: Conduct corporate name searches, draft entity-related documents, submit and order all required entity filings, and obtain certified documents and good standing certificates.
  • Document Preparation: Draft ancillary legal documents under attorney supervision, such as finance and transaction documents, deeds, assignments, leases, loan documents, checklists, notices, corporate approvals, agreements, contracts, corporate resolutions, officer’s certificates, bylaws, stock certificates, collateral receipt letters, and other supporting documents.
  • Closing Assistance: Work with lending institutions to complete closing processes for acquisitions, sales, and financing transactions; conduct property, tax, and zoning research; order reports; prepare and manage closing checklists; prepare payoffs and closing statements; manage data rooms; coordinate preparation of transcripts; track and manage pre-closing, closing, and post-closing documentation and due diligence activities.
  • Title/Survey: Maintain relationships with title companies, surveyors, and transaction parties to resolve title and survey issues or other due diligence concerns prior to closings; order and review surveys and plats; coordinate seals and certifications for transactions; order and review titles searches; review and verify legal descriptions; coordinate commitments; and order title insurance policies.
  • Foreclosure Sales: Assist with scheduling and documentation needed for foreclosure sales matters.
  • Licenses & Permits: Review existing licenses and permits, research and summarize requirements, prepare applications, and coordinate required follow up with clients and agencies.
  • UCC Services: Draft and arrange for filing of UCC statements, amendments, and terminations; draft UCC financing documents; and conduct, review, and summarize UCC, bankruptcy, and litigation lien searches.
  • Billable Hours: Consistently achieve billable hour expectations set by the firm (including approved non-billable hours).

Qualifications

  • High school diploma or equivalent required; Associate or Bachelor’s Degree and/or Paralegal Certificate preferred.
  • Minimum of three (3) years of paraprofessional experience in a law firm or professional services environment assisting with commercial, multi-state real estate transactions from origination to finalization of post-closing matters required.
  • Advanced organizational and time management skills, with ability to manage complex workflows and competing priorities, anticipate needs and deadlines, and consistently deliver high-quality work in a deadline-driven environment.
  • Ability to communicate clearly and professionally with internal teams, clients, vendors, and regulatory agencies.

In support of transparency and equity in the workplace, Foley provides salary ranges for all positions. The figures below represent the full compensation range of this position. The actual offered amount will be between the range minimum and midpoint based on the following factors: education, experience, geographic market, and internal pay equity at Foley. #LI-Hybrid

Jacksonville, Orlando, Tampa: $77,500 - $108,500

Dallas, Houston - $85,300 - $119,400
